Culture isn’t just a critical consideration in M&A - it’s key to unlocking commercial performance and value for all businesses. Most organisations agree that ‘people topics,’ including culture, are fundamental to maximising value in acquisitions and divestments. Yet too often, culture is seen as something for HR to manage alone, rather than a business-owned accountability. With more than two-thirds of M&A activity failing to deliver value, addressing cultural integration is critical. We recently used our culture diagnostic tool for an organisation post-acquisition. By analysing data from both the existing and acquired organisations, we identified the cultural strengths to celebrate and preserve, as well as potential challenges to address. How does Q5 drive M&A success in Media? Editorial teams have unique cultures, cadence, rhythms and rituals, vocabulary, processes, deadlines, technology, measures, interpretations of success, personalities. Post-merger there must be a clear ‘transformation strategy’ that very deliberately decides: 💡What is fundamental to the unique voice and must remain unchanged 💡What is fundamental to driving the benefits envisaged in the acquisition logic and must change 💡What change might be left to evolve over time as content strategies, formats, technology and personalities change. ⚠️ Value is quickly destroyed if the creative output is undermined, and audiences start to decline. The benefits of bringing together commercial propositions and teams, economies of scale in technology, product development, and central services can be more immediate and should be realised relatively quickly to avoid the risk of inefficiencies becoming embedded. Having a transformation plan that invests in creating a shared, balanced, vision for success that goes beyond core processes and includes values, behaviours and an updated operating model is a small investment in success. Our experience of work in a broad range of editorial, commercial, and product teams gives us the sensitivity to create a change that energises teams and drives performance.
