To cap off an exciting and pivotal day for Hastings, our Chief Operating Office Tim Gilbert presented at the RIU Explorers Conference yesterday. Our exciting announcement that we will form a Joint Venture with Wyloo. This announcement provides the partnership that will allow the Yangibana Project to march towards producing its rare earth concentrate. - The term sheet has been approved by Wyloo Investment Committee and supported by the Hastings Technology Metals Ltd board. - Includes cancellation of all Exchangeable Notes owing to Wyloo, which represents an early repayment of debt in full ahead of maturity in October 2025 (at which time the face value of the Exchangeable Notes would be approximately $220m). - 60:40 JV with Wyloo holding a 60% participating interest and Hastings' wholly owned subsidiary, Yangibana Jubilee Pty Ltd, holding a 40% participating interest. - Hastings retains a 40% share of revenue (rare earths, niobium and other by-product credits) and Project cash flows. This partnership will significantly de-risk project funding for Yangibana by partnering with Wyloo, who brings established technical and financial credentials. The agreement demonstrates a credible path to funding and development, bringing hundreds of jobs and economic opportunities to the Gascoyne region and Western Australia. Hastings Technology Metals Limited is a Perth-based rare earths company focused on the development of its 100% owned Yangibana Rare Earths Project. Located in the Gascoyne region of Western Australia, the Yangibana Project contains one of the most highly valued deposits of NdPr in the world with an NdPr to Total Rare Earth Oxide ratio of up to 52% in some areas of the orebody. With an initial mine life of 17 years, the Yangibana Project will become a globally significant source of NdPr, a critical component in the manufacture of permanent magnets used in advanced technology products including electric vehicles, renewable energy, humanoid robotics, and digital devices. The Yangibana Project is fully permitted for immediate development and is well-timed to meet the forecast supply gap for rare earth elements accelerated by the growth in electric vehicles and wind turbines, both vital for the global energy transition. It will be developed in two stages with an initial focus on the construction of the mine and beneficiation plant to produce 37,000 tonnes per annum of mixed rare earth concentrate. Hastings continues to assess downstream processing opportunities including the development of a hydrometallurgical plant to capture more of the rare earth value chain. The Company holds a strategic 21.5% shareholding in TSX-listed Neo Performance Materials, a leading global rare earth processing and advanced permanent magnets producer, providing future optionality to explore the creation of a mine to magnet supply chain.

Hastings Technology Metals Ltd And Wyloo To Form Joint Venture On The Yangibana Rare Earths & Niobium Project SUMMARY OF THE JOINT VENTURE: - Hastings Technology Metals Ltd and Wyloo have signed an exclusive non-binding term sheet to enter into an Unincorporated Joint Venture (UJV) for the Yangibana Rare Earths and Niobium Project. - The term sheet has been approved by Wyloo's Investment Committee and supported by the Hastings board. - The transaction is subject to executing a UJV Agreement, Transaction Agreement and other binding JV documentation, which are well advanced and being finalised between the parties. KEY COMMERCIAL TERMS INCLUDE: - 60:40 UJV with Wyloo holding a 60% participating interest and Hastings' wholly owned subsidiary, Yangibana Jubilee Pty Ltd, holding a 40% participating interest. - Consideration includes cancellation of all Exchangeable Notes owing to Wyloo, which represents an early repayment of debt in full ahead of maturity in October 2025 (at which time the face value of the Exchangeable Notes would be approximately $220m). - Hastings retains a 40% share of revenue (rare earths, niobium and other by-product credits) and Project cash flows. - UJV includes Stage 1 of the Yangibana Project and Stage 2 of the Hydrometallurgical Plant. - Wyloo will act as the UJV Manager and Operator. The event showcased KSA commitment to transforming minerals into a cornerstone of economic diversification and sustainable development in line with #Vision2030. The conference attracted over 18,000 participants from 165 countries, 50 international organizations, and experts from across the entire mineral value chain. With 405 speakers contributing to 96 sessions and workshops, together we have advanced the global minerals agenda. Hastings Flagship Project 'The Yangibana Rare Earth and Niobium Project' contains one of the most highly valued deposits of Neodymium and Praseodymium worldwide, with an average NdPr of 37% TREO Ratio. With an initial mine life of 17 years and poised to become a multi-generational mine, the Yangibana Project will become a globally significant source of NdPr, a critical component in the manufacture of permanent magnets used in advancing technology products from electric vehicles to renewable energy, humanoid robotics, medical applications and digital services. In late 2024, Hastings was selected as one of nine parties by the Kingdom of Saudi Arabia's Ministry of Investment (MISA) for the Global Supply Chain Resilience Initiative (GSCRI) program, totalling SAR 35 billion (US$9 billion / A$14 billion). This is an excellent opportunity for Hastings to be part of further downstream processing that will enable rare earth magnet products produced in KSA to be well positioned to supply components to Original Equipment Manufacturers (OEMs) and Tier 1 suppliers located in Europe, US and Middle East markets. Hastings total capital costs incurred to date is $223 million. Key staged development activities to date include: ✔️ Non-process Infrastructure, including the Kurrbili Accommodation Village, 294 rooms, kitchen, mess facilities, medical centre, sports court, administration buildings, ✔️ A 1.8km airstrip capable of landing 70-seater aircraft, ✔️ The construction of six production bores, a 30km water pipeline, ✔️ Telecommunications towers, ✔️ Over 20 km of site access roads are completed and operational. ✔️ Design works are advanced in engineering with GR Engineering Services, and design is for the critical areas of process engineering, bulk earthworks, concrete, structural engineering, mechanical engineering, and piping. The electrical, instrumentation and control system engineering and design have commenced. ✔️ The majority of long lead equipment for the Beneficiation plant, such as the SAG mill, regrind mill, and flotation cells, have been procured to date and have been delivered and held in storage in Perth. ✔️ Significant long lead Hydrometallurgical plant equipment such as Off-gas Scrubbers, rotary kiln, and thickeners have also been procured, delivered, and stored in Perth.
