In private equity, the most common and well-known transactions are traditional fund investments or co-investments. In recent years, however, the trend of GP stakes is beginning to gain traction in Canada. A GP stakes investment is a transaction where a third-party investor acquires an interest in an investment fund manager or general partner (as opposed to investing in the investment fund itself). These transactions are typically structured to entitle the investor to receive a portion of the management fees or carried interest (if and when realized). In our bulletin, we cover: · What is GP stakes investing? · Why participate in a GP stakes transaction? · How to prepare for a GP stakes transaction? · What is the current state of the GP stakes transactional market? https://bit.ly/3O98ROn #privateequity #privatefunds #investments #investmentfunds Danielle Kline (Traub) | Sarah Strong

The 2024 Ontario Fall Economic Statement introduced amendments to the Insurance Act that will require licensing of life and accident & sickness (A&S) managing general agents (MGAs). The amendments give the Financial Services Regulatory Authority (FSRA) broad rule-making authority over MGAs, and clarify the duties of insurers, MGAs and agents. MGAs will now be required to develop compliance systems to ensure they and any sub-MGAs/agents comply with the insurance legislation and FSRA’s rules. These amendments follow a consultation held by the Ministry of Finance earlier this year. Canadian companies should begin planning now while there is an opportunity to get in front of what may be coming. Our bulletin sets out the tools and strategies that companies may want to consider to manage the changes to the competitive landscape that these tariffs could yield: https://bit.ly/3AZ5MNX #privateequity #mergers #acquisitions #capitalmarkets #governance #advisory Adam Slavens
