ad metam SA was founded in 2022 on the initiative of a team of young lawyers who, treasuring their experience abroad and in leading law firms in Switzerland, decided to launch a new reality in the legal field of the Italian-speaking part of Switzerland. Our aim is to provide our clients with the best possible assistance by combining professional and expert advice with an agile and transparent approach. We have a strong regional presence, yet we boast an extensive national and international network that enables us to cope with the increasing complexity of today’s society, providing comprehensive legal advice to private individuals, companies and public institutions. Our lawyers – who work in Italian, German, English, French and Spanish – advise and represent our clients in Ticino and throughout Switzerland before all cantonal and federal administrative and judicial authorities as well as in arbitration proceedings. Thanks to the synergies with our local notary partners we are also able to offer our clients support and assistance in all areas of notarial law. For us, law is not just about work.     Important legal update for Swiss companies Our partner Matteo Suckow has highlighted an important ruling by the Swiss Federal Court that affects all Swiss companies limited by shares. 🔑 Key points of the ruling   ▪ Expiry of the term of office: if the general meeting is not convened within six months of the end of the financial year, the term of office of board members is not automatically extended. Members who are not re-elected lose their position. ▪ Representation and validity of meetings: after this period, former board members cannot represent the company or validly convene a general meeting. Such meetings are considered null and void. ▪ Different rule for auditors: this principle does not apply to the external auditor, who remains in office until the adoption of the last annual accounts. 🔧 Solutions in case of expiry of the term of office of the board of directors   ▪ Call a universal meeting (meeting of all shareholders). ▪ Ask the external auditor, if in office, to convene a meeting. ▪ Submit a petition to the competent court to remedy the organisational defect. 📣 Recommendation Ensure timely re-election of board members to avoid void general meetings and serious practical and legal consequences.

    𝐈𝐦𝐩𝐨𝐫𝐭𝐚𝐧𝐭𝐞 𝐚𝐠𝐠𝐢𝐨𝐫𝐧𝐚𝐦𝐞𝐧𝐭𝐨 𝐠𝐢𝐮𝐫𝐢𝐝𝐢𝐜𝐨 𝐩𝐞𝐫 𝐥𝐞 𝐒𝐀 𝐬𝐯𝐢𝐳𝐳𝐞𝐫𝐞 Recentemente, il Tribunale Federale (TF) si è espresso su un tema di grande rilevanza pratica per tutte le società anonime svizzere: le conseguenze della mancata rielezione dei membri del consiglio d'amministrazione (CdA) entro sei mesi dalla fine dell’esercizio annuale. 📌 Alcuni degli aspetti centrali della sentenza   ▪ Il TF ha confermato quanto stabilito nella sentenza DTF 148 III 69: in caso di mancata convocazione dell’assemblea generale entro sei mesi dalla fine dell’esercizio annuale, i membri del CdA non vedono automaticamente prolungato il loro mandato. Al contrario, i membri non rieletti perdono automaticamente la loro carica. ▪ A partire da questo momento, i membri di CdA non dispongono più del potere di agire validamente in rappresentanza della società e non possono più convocare validamente un’assemblea generale, nemmeno per procedere alla loro rielezione. Un'assemblea generale convocata con tali modalità è considerata nulla (!). ▪ Il TF ha escluso l’applicazione per analogia di questo principio all’Ufficio di revisione, statuendo che il medesimo resta in ogni caso in carica fino all’approvazione dell’ultimo conto annuale (v. art. 730a cpv. 1 CO). 🔧 Soluzioni disponibili in caso di scadenza del mandato del CdA  ▪ Convocare un’assemblea universale (riunione di tutti gli azionisti ai sensi dell'art. 701 CO), giacché la stessa non è soggetta alle disposizioni sulla convocazione dell'assemblea generale. ▪ Se in carica, richiedere all’ufficio di revisione di convocare l’assemblea, ritenuto che l’art. 699 cpv. 1 CO prevede questa facoltà "all’occorrenza". ▪ Presentare un’istanza al tribunale competente per rimediare alla lacuna organizzativa derivante dalla mancanza dell’organo esecutivo della società (v. art. 731b CO). 🔔 Raccomandazione È essenziale prestare massima attenzione al termine di carica dei membri di CdA e prendere tempestivamente le necessarie misure per assicurarne la rielezione. In caso contrario, si rischia di tenere assemblee generali nulle, con tutte le gravi implicazioni pratiche e legali che ne conseguono.
