This week, Baker McKenzie Switzerland once again hosted it’s Fall Seminar, where we answered: “What’s trending in M&A these days?". Our lawyers delved into the latest trends shaping the M&A landscape, covering a range of topics such as the dos and don'ts for cross-border deals, navigating the impact of geopolitics, the complexities of sanctions in M&A deals, and how AI, including the EU AI Act, is impacting M&A. We concluded the insightful seminar with a practical case study, which highlighted the key takeaways and implications for global transactions. Thanks to our guests for making it a great event for networking and exchanging ideas. Alexander Fischer │ Olha Demianiuk │ Martin P. The geopolitical motivations behind #cyberattacks and the reactive global cyber laws that regulate critical infrastructure, data and cyber practice are global hot topics. We were delighted to host our "Geopolitics & Cyber" lunch seminar last week, where Baker McKenzie's Lukas Feiler, Christoph Kurth, Justine Phillips and Eva-Maria Strobel focused on readiness and resilience under US, European and Swiss laws. Our speakers gave an overview of the complex landscape of geopolitically motivated cyberattacks, provided updates on new cyber laws and regulations, in particular NIS-2 and CIRCIA, and discussed the legal and regulatory risks and consequences that multinational organizations face when cyberattacks happen. They provided insights on the sophisticated tactics employed by cybercriminals and key steps organizations should take to increase their resilience and prepare for attacks and the most important steps in responding to cyber incidents when they occur. how to fortify defenses against the ever-evolving threats posed by insiders, and looked at the latest strategies for safeguarding sensitive information and examining the geopolitical implications of digital espionage. #BakerMcKenzie #BakerMcKenzieSwitzerland #Cyberattack #Data #Cyber #Law

It was a great pleasure for Baker McKenzie Switzerland to host the session "Corporate Whistleblower Awards Pilot Program – a game changer?" last week with Ethics and Compliance Switzerland. Caleb Sainsbury and Kaspar Projer explored the US Department of Justice's Corporate Whistleblower Awards Pilot Program, with effect as of 1 August 2024, and its significant impact on Swiss companies as this new policy, a vital component of the DOJ's efforts to enforce corporate compliance and anti-corruption, has far-reaching implications for businesses outside the US, including those in Switzerland. The two presenters examined how Swiss companies with US ties are affected, as well as the various legal implications involved, and discussed strategies companies can adopt to take this new policy into account. Finally, they analyzed whether and how this new policy affects compliance officers of Swiss companies. Many thanks to the Ethics and Compliance Switzerland Team, especially Christian Hauser, Claudia Götz Staehelin and Patrick Wellens, for holding this event with us. #BakerMcKenzie #BakerMcKenzieSwitzerland #whistleblowing #ethicsmatters #compliance

🚀 The "Long Night of Careers" at the University of Zurich is always a special highlight for students and for us, so we were delighted to be there again last week. Our on-site recruitment team, Head of HR Anja Halliger and Senior Specialist Recruiter Olga Pedretti, was actively supported by a big Baker McKenzie Switzerland team! Trainee Lawyers Alissa Schweda and Askoa Krinner, together with Olga, gave tips on how students can make their CVs more attractive so that they stand out to employers in the future. Partner Christoph Kurth spoke in his presentation about our culture and work-life-balance integration. Associate Hesam Mirzai gave insights into a lawyer's tasks in an M&A transaction in his case study on "Spin-offs under Swiss law." Trainee Lawyer Danijela Mrdak presented our short-term trainee and trainee lawyer programs to all interested participants, and Anja Halliger explained our application procedures. Afterward, everyone had the opportunity to chat with our team over an aperitif and ask questions. It was an exciting and all-round successful event, and we are already looking forward to next year! #BakerMcKenzie #BakerMcKenzieSwitzerland #LNOC #LawFirmLikeNoOther #LifewithBaker #yourchoice

After the event in Geneva, Baker McKenzie was pleased to offer the in-person briefing on the topic of "Trust & Foundation Planning" in our Zurich offices as well. As a background, the US Treasury recently proposed new regulations affecting the reporting obligations of foreign grantor trusts and large foreign gifts. Our private wealth and tax lawyers — Elliott Murray and Nathan Bouvier in Geneva, and Lyubomir (Lubo) Georgiev and Andrea B. Bolliger in Zurich — looked at the direction the new reporting rules are taking and provided insight into the difference between civil law foundations and common law trusts. Meritxell Sánchez also addressed the tax implications of trusts, tax planning tools and mobility at both events. #BakerMcKenzie #BakerMcKenzieSwitzerland #BakerMcKenzieTax #trust #foundation #privatewealthmanagement #taxfromeveryangle #reportingrules

It was a great pleasure to host our second FeMale Leaders event at our Geneva offices and we were especially happy to see so many male allies joining us. This time, we dove into a topic that is currently all over the media: "What can we learn from Harris and Trump when it comes to the art of public speaking?" Kamala Harris and Donald Trump are both masters of public speaking in their own way. What can we learn from them when it comes to speeches? We were delighted to offer an interactive masterclass on public speaking techniques in which Simon Ntah analyzed the rhetorical techniques and strategies applied by Harris and Trump and provided practical tips that we can use when we’re asked to present or speak in public. Our guests greatly appreciated the insightful seminar, and we ended the evening with further discussions over a nice apéro. #BakerMcKenzieSwitzerland #FeMaleLeaders #publicspeech #masterclass #networking
