We are pleased to share that our Director of Triay Lawyers Spain, Alejandro Ponce de León, participated yesterday as a speaker at the XV Sotogrande Business Forum, organized by Grupo HCP Sotogrande and held at the prestigious Real Club Valderrama. Alejandro took part in the discussion, bringing his experience and insights on key topics for business development in the region. The event brought together nearly one hundred attendees, including the most relevant business and institutional leaders in Sotogrande, to analyze the different issues that shape the short- and medium-term agenda of the sector. Discussions focused on creating a sustainable and effective plan for water supply and management (in light of the growth and expansion of the urbanization), ensuring high-quality services, establishing a solid legal and financial framework to support investments, and emphasizing quality over quantity. The discussion panel, while actively involving all participants, was chaired by notable figures such as Susana Pérez Custodio (President of the Campo de Gibraltar Commonwealth), Javier Reviriego (General Manager of Real Club Valderrama), Rita Jordao (Marketing Director of Sotogrande S.A.), Mari Carmen Gago (Business Center of La Caixa), Alejandro Ponce de Leon (Triay Lawyers), and José Luis García (President and Editor of Grupo HCP Sotogrande), under the coordination and moderation of Manuel Gil. In the second part of the event, journalist and writer Teodoro León Gross took center stage. Si esto se contara en la UNIVERSIDAD … Hoy he tenido un día atípico para un abogado pero algo que considero fundamental; pisar el terreno, literalmente, para ayudar a un gran cliente con una situación de su finca, que implica vías pecuarias, lindes, servidumbres y relación con varias administraciones … nuestro cliente no es español, y se encuentra especialmente perdido en estos temas. Esto me lleva reflexionar sobre lo bueno que es pasar de la teoría a la práctica y ver plasmados en la realidad muchas de las cosas que se creen del pasado pero son plenamente vigentes, y como de interesante sería explicar las instituciones jurídicas citadas con casos reales, que se dan no solo en entornos rústicos sino puramente urbanos, y no obligar a los alumnos a memorizar temas como papagayos ..🦜 Lo dicho un buen día! Today, I had an unusual day for a lawyer, but one I consider essential: being on-site, quite literally, to assist a great client with a matter concerning his property, which involves rural rights of way, boundaries, easements, and dealings with multiple administrations. Our client is not Spanish and is particularly unfamiliar with these issues. This leads me to reflect on the value of moving from theory to practice and witnessing firsthand how many legal concepts from the past are still very much relevant today. It would be fascinating to explain these legal institutions with real-life cases that occur not only in rural settings but also in purely urban environments, rather than forcing students to memorize topics like parrots...🦜 In short, a good day!

Recently, I encountered a challenging situation that highlighted the intricate dynamics of real estate transactions, particularly when involving commercial entities and the nuances of mortgage regulations. A commercial entity was acquiring a property with a personal guarantor. The bank imposed a 10-day waiting period after signing the European Standardised Information Sheet (ESIS) before the deed could be notarized, citing Law 5/2019. However, our legal analysis revealed this requirement should not apply in this scenario. Here’s why: Initial Bank Notification: After approving the loan, the bank first notified us that our client had to pay the documented legal act tax (IAJD), understanding this could be negotiated since the borrower was a commercial entity. Later, the bank informed us that the 10-day waiting period must be respected due to the application of the LCI. Lengthy Negotiations: The negotiations with the bank spanned over six months, with intensified discussions in the last two months. Despite multiple requests for clarity on the 10-day rule, the bank did not respond until the ESIS was signed. Consumer vs. Commercial Entity: According to Law 5/2019, the 10-day waiting period applies primarily to consumers. In our case, the entity was commercial, engaged in renting properties. The personal guarantor, being an administrator of the company, reinforced the commercial nature of the transaction. Legal Interpretations: A recent resolution from the Dirección General de Seguridad Jurídica y Fe Pública clarified that a personal guarantor who is also an administrator, attorney, or partner of a commercial entity does not qualify as a consumer. This functional relationship excludes the applicability of consumer protection laws designed for individuals acting outside their professional capacity. Inconsistent Application of Rules: The bank’s approach seemed contradictory. On one hand, they treated the entity as commercial for tax purposes, allowing the negotiation of loan expenses. On the other hand, they enforced consumer protection rules by requiring the 10-day waiting period. Practical Implications: Despite our legal stance, the bank maintained their position, citing internal policy. This led to a challenging dialogue with the developer, who demanded an additional payment to cover interest due to the delayed notarization, complicating the transaction further. In the end, we documented our client's intention to proceed with the notarization and highlighted the bank’s role in the delay. This case underscores the importance of clear communication, understanding regulatory nuances, and flexibility in resolving unforeseen complications. This experience reinforced the critical role of thorough legal analysis and the importance of being prepared for last-minute changes in complex real estate transactions.
