On 26 October 2016 the Commission received a notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1) by which the undertaking Danone SA (‘Danone’, France) acquires within the meaning of Article 3(1)(b) control of the whole of The WhiteWave Foods Company (‘WhiteWave’, USA), by way of purchase of shares.

The business activities of the undertakings concerned are:

—   for Danone: food-products group of companies with a worldwide presence, mainly active in (i) fresh dairy products; (ii) water; (iii) early life nutrition products; and (iv) medical nutrition products,

—   for WhiteWave: manufacturing, marketing and distribution of plant-based foods and milks, coffee creamers and beverages, premium dairy products and organic products primarily in North America.

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.

The Commission invites interested third parties to submit their possible observations on the proposed operation to the Commission.
