Dr. Mustapha Abdul-Hamid, the Chief Executive (CE) of the NATIONAL PETROLEUM AUTHORITY (NPA), has assured businesses operating in Ghana’s Petroleum Downstream Industry of the NPA’s continued collaboration to address challenges and promote growth. “NPA is very pro-business in the exercise of its #regulatory mandate, such that we do protect Ghanaian #businesses and employees to enable growth in the Petroleum Downstream Industry, increase #employment opportunities and ease the burden of unemployment”. To achieve this, the NPA has implemented several measures, including the establishment of a Receivables Committee which constantly interacts with companies with perceived high #credit #risk profiles and ensures that their risk profile is low so they can continue to deliver the taxes and margins expected of them. “That is crucial for us because if all these companies are indebted and they collapse under the weight of their indebtedness, then NPA also ceases to exist”. He added that the NPA has also had to directly appeal to government to introduce certain #economic measures that seek to protect #businesses, especially in times of volatility and turbulence. Some of these interventions include how the NPA appealed to the Bank of Ghana (BoG) to undertake a forex auction to aid the achievement of some stability in the exchange rate applied by petroleum importers. This is to ensure that the final consumer of petroleum products is not unnecessarily burdened. “To this day, the forex auction still goes on, even though the percentage of foreign currency that is provided by the BoG has receded due to additional interventions.” Dr. Abdul-Hamid made these remarks during a UK-Ghana Chamber of Commerce (UKGCC) and WTS Nobisfields (WTS Ghana) webinar on “Building Consistency in Regulatory Enforcement Across Ghana’s Petroleum Sector”, where he added that the introduction of the ‘Gold for Oil’ programme was another government intervention that the NPA facilitated to reduce the direct demand for US dollars for the importation of #petroleum products. Yesterday, we had the honor of hosting an exclusive training webinar on the topic: "Global Minimum Tax (Pillar II) and its Impact on Ghana, Rule of Law, and Constitutionality." 📢 Important Directive from the Office of the Registrar of Companies ("ORC") The ORC has issued a directive regarding the use of assets and funds for Companies Limited by Guarantee ("LBGs"). This aims to educate the public on how LBGs (typically non-profit organizations, churches, associations and similar entities) should lawfully manage their finances to ensure compliance with the Companies Act, 2019 (Act 992). Key takeaways: a. LBGs cannot pay dividends or distribute assets to its members; b. Surplus assets of LBGs, in the case of dissolution, must be transferred to another charitable organization with similar object or must be used for any other charitable purposes; and c. Generally, directors of LBGs cannot be paid salaries, allowances and/or fees. Exceptions exist for good faith payments to officers and reimbursement of business-related expenses.
