While certain regions are emerging as technology hubs, the country still has significant room for growth, particularly in software development. 𝗘𝘅𝗲𝗰𝘂𝘁𝗶𝘃𝗲 𝗧𝗮𝗹𝗲𝗻𝘁 𝗮𝗻𝗱 𝗜𝗻𝗰𝗲𝗻𝘁𝗶𝘃𝗲 𝗠𝗲𝗰𝗵𝗮𝗻𝗶𝘀𝗺𝘀 💼 Spain boasts a robust pool of highly trained and experienced executives. However, retention and incentive mechanisms at exit remain less competitive compared to other European countries, where leadership teams often receive up to 20% of the proceeds. 𝗙𝘂𝗻𝗱𝗿𝗮𝗶𝘀𝗶𝗻𝗴 𝗟𝗮𝗻𝗱𝘀𝗰𝗮𝗽𝗲 💰 Mid-market funds have begun fundraising, and larger fund managers are already engaging in substantial deals. An increased inflow of capital is anticipated once interest rates begin to decline. 𝗥𝗼𝗹𝗲 𝗼𝗳 𝗣𝘂𝗯𝗹𝗶𝗰 𝗘𝗻𝘁𝗶𝘁𝗶𝗲𝘀 🏛️ Public agencies have become pivotal in the allocation of funds. For instance, Cofides and ICO in Spain are driving initiatives such as the FOCUS and FIS programs, supported by the European Union. These initiatives represent €2.5 billion and €400 million, respectively, and aim to deploy capital over the next four years, both directly and via fund managers. 𝗘𝗦𝗚 𝗮𝗻𝗱 𝗦𝘂𝘀𝘁𝗮𝗶𝗻𝗮𝗯𝗶𝗹𝗶𝘁𝘆 ♻️ Environmental, Social, and Governance (ESG) criteria play a critical role in fundraising across Europe. Sustainability and impact are treated as genuine investment priorities rather than mere administrative requirements. 𝗘𝗺𝗲𝗿𝗴𝗶𝗻𝗴 𝗙𝘂𝗻𝗱𝗶𝗻𝗴 𝗦𝗼𝘂𝗿𝗰𝗲𝘀 💸 Alternative fundraising avenues, such as search funds, are gaining traction in Spain, particularly within the lower mid-market segment.     On November 14th, Pedersen & Partners, together with CMS Asia Pacific, co-hosted the 𝟮𝟬𝟮𝟰 𝗦𝗼𝘂𝘁𝗵𝗲𝗮𝘀𝘁 𝗔𝘀𝗶𝗮 #PrivateEquity 𝗕𝗿𝗲𝗮𝗸𝗳𝗮𝘀𝘁 at the iconic Raffles Hotel in 𝗦𝗶𝗻𝗴𝗮𝗽𝗼𝗿𝗲. The event provided a platform for over 115 senior executives and decision-makers from private equity, venture capital, asset management, financial institutions, advisory firms, family offices, and portfolio companies to connect and exchange insights. Focusing on the theme "𝗡𝗮𝘃𝗶𝗴𝗮𝘁𝗶𝗻𝗴 𝘁𝗵𝗲 𝗦𝗼𝘂𝘁𝗵𝗲𝗮𝘀𝘁 𝗔𝘀𝗶𝗮 𝗜𝗻𝘃𝗲𝘀𝘁𝗺𝗲𝗻𝘁 𝗟𝗮𝗻𝗱𝘀𝗰𝗮𝗽𝗲: 𝗢𝗽𝗽𝗼𝗿𝘁𝘂𝗻𝗶𝘁𝗶𝗲𝘀, 𝗧𝗿𝗲𝗻𝗱𝘀, 𝗮𝗻𝗱 𝗦𝘁𝗿𝗮𝘁𝗲𝗴𝗶𝗲𝘀," our co-chairs, Ruchika Gokarn (Pedersen & Partners) and Gerald Licnachan (CMS Asia Pacific), and to our panellists: Arjun Anand (Verlinvest), Rishika Chandan (Venturi Partners), Alptekin D.(Investcorp), Winston Mandrawa, CFA (Affirma Capital), Sugandhi Matta (abcIMPACT), and Ernest X. (Eurazeo) examined critical trends shaping the region's investment and M&A landscape. 𝗞𝗲𝘆 𝗧𝗮𝗸𝗲𝗮𝘄𝗮𝘆𝘀: 𝗘𝘅𝗶𝘁𝘀 📉: While deal flow remains strong, market softening from 2023 persists. GPs are holding onto quality assets longer, and there’s a continued gap in valuation expectations between founders and investors/buyers. 𝗜𝗣𝗢 𝗠𝗮𝗿𝗸𝗲𝘁𝘀 📈: Apart from buoyant conditions in Malaysia, IPO activity in Southeast Asia has been relatively quiet, with equity capital markets still somewhat inactive. 𝗗𝗲𝗮𝗹 𝗧𝗶𝗺𝗲𝗹𝗶𝗻𝗲𝘀 ⏳: Deal processes are taking longer, ranging from 6-12 months after term sheets, with some deals ultimately not closing. 𝗜𝗺𝗽𝗮𝗰𝘁 𝗜𝗻𝘃𝗲𝘀𝘁𝗺𝗲𝗻𝘁 🌱: There’s significant growth in impact investment, with increasing capital flows from Asian LPs. However, the region remains under-invested and under-represented in this space. 𝗥𝗲𝗴𝗶𝗼𝗻𝗮𝗹 𝗖𝗮𝗽𝗶𝘁𝗮𝗹 𝗙𝗹𝗼𝘄𝘀 💸: While local investors continue to invest in #SoutheastAsia, capital from the US and Europe remains less prevalent. 𝗔𝗹𝘁𝗲𝗿𝗻𝗮𝘁𝗶𝘃𝗲 𝗙𝗶𝗻𝗮𝗻𝗰𝗶𝗻𝗴 💼: There has been a noticeable rise in private credit options for portfolio companies, providing more flexibility to businesses and are becoming a more common feature in funding cycles. 𝗘𝗦𝗚 🌍: Governance is now a core focus in the mid-market space, with GPs dedicating significant time to ensuring robust governance standards and strategies. 𝗩𝗮𝗹𝘂𝗲 𝗖𝗿𝗲𝗮𝘁𝗶𝗼𝗻 🛠️: A strong business plan and skilled talent are essential for value creation. Private equity firms in the region are increasingly building ‘operating partner benches’ with sector and functional specialists. 𝗚𝗲𝗼𝗽𝗼𝗹𝗶𝘁𝗶𝗰𝘀 🌏: Despite ongoing geopolitical concerns, GPs remain optimistic about Southeast Asia’s opportunities, driven by shifting supply chains, GDP growth, and a growing consumer-driven economy. A long-term view is essential to navigate the region’s complexities.

Corporate buyers have been more active than private equity funds. 🕒 Deals take longer to close, and more deals are being abandoned. 💼 Exits are difficult in the current market, resulting in a longer holding period. 💰 Fundraising is easier for large-cap private equity funds but challenging for smaller funds. 📈 Portfolio management skills are critical to help portfolio firms grow and perform. The panel highlighted the following critical value-creation actions in 2024: o Add-on acquisitions o The ability to raise prices o Controlling costs o Ensuring that portfolio firms maintain their focus 🔄 A majority stake in the Dutch infrastructure fund manager DIF was taken over by CVC in 2024. 🌱 Finally, ESG considerations continue to be of paramount importance in Benelux.
