The Minister for Housing, Local Government and Heritage invites applications from suitably qualified candidates to fill the position of non-executive Director on the Board of the Housing Finance Agency. Housing Finance Agency (“HFA”) is a company under the aegis of the Minister It was established on foot of the Housing Finance Agency Act 1981 (as amended) and incorporated as a private limited company in 1982 and became a public limited company in 1983. Its shares are owned by the Minister for Public Expenditure, NDP Delivery and Reform. The agency provides financing to, amongst others, local authorities, approved housing bodies and higher education institutions to facilitate the delivery of social and affordable housing. In 2023 the HFA advanced €1.2 billion to customers to support the delivery of 3,796 new homes across Ireland. The HFA’s Board of Directors takes major strategic decisions and retains effective organisational control, while allowing HFA management sufficient flexibility to run the business efficiently and effectively within a centralised reporting framework. The Board makes decisions pertaining to the HFA and its future direction, such as major acquisitions and disposals, appointment and removal of the Company Secretary, expenditure budgets and risk management policies. Each non-executive Director brings independent judgement to bear on all matters dealt with by the Board, including those relating to strategy, performance, resources and standards of conduct. Matters reserved for the Board include the following: • the preparation and adoption of a strategic plan is a primary responsibility of the Board of the HFA; • approval of a 5-year Corporate Plan on an annual basis; • approval of terms of major contracts; • appointment, remuneration and assessment of the performance of and succession planning for, the CEO; • significant amendments to the pension benefits of the CEO and staff; • assurances of compliance with statutory and administrative requirements in relation to the approval of the appointment, number, grading, and conditions of all staff, including remuneration and superannuation; • approval of annual budgets; • approval of annual reports and financial statements; • approval of significant acquisitions, disposals and retirement of assets of the HFA or its subsidiaries. The schedule should specify clear quantitative thresholds for contracts above which Board approval is required; • approval of major investments and capital projects and; • delegation of authority levels, treasury policy and risk management policies.
