On November 11, 2024, SEBI issued a circular amending the relevant para of its Master Circular on Foreign Portfolio Investments dated May 30, 2024 (Master Circular) which deals with FPI investments crossing the 10% permissible threshold. The November 11 circular amended Para 17 of Part C of the Master Circular and have, along with an RBI notification of the same date, brought in the framework for re-classification of FPI investments beyond the permitted 10% as FDI investments.   SEBI amendment to Para 17 C of Master Circular - Any investments by an FPI along with its investor group which exceeds 10% of the paid up share capital on a fully diluted basis may be re-classified as an FDI investment. An intimation must be given by the FPI to its custodian to this effect and until the re-classification is completed, the demat account for holding FPI investments will be frozen for any purchases. The FPI can also request for transfer of shares from the demat account for FPI investments into the demat account opened for FDI investments, once the re-classification and the corresponding RBI reporting norms are completed.   RBI Operational Framework dated November 11, 2024 - Prior to re-classification, FPIs are required to obtain PN3 approvals (as applicable) and adhere to entry route, sectoral limits, pricing etc. Post re-classification, the entire investment made by the FPI should be reported by submitting Form FC-GPR or FC-TRS as the case maybe. The AD is required to report the amount of re-classified investment as a divestment. The provisions on freezing of FPI demat for further purchases and the provision for transfer of securities to FDI demat account post re-classification (as in the SEBI circular) also forms part of the RBI framework. After the re-classification, the entire investment will be governed by Schedule I of the NDI Rules as an FDI investment, even if it falls below 10% threshold subsequently. Indo-French Chamber of Commerce & Industry (IFCCI) successfully organized the second edition of the Indo-French Health & Life Sciences Seminar on 14th November 2024 at Hyatt Gachibowli, Hyderabad. The event witnessed the participation of over 100 leaders from the Health and Life Sciences sector, marking another milestone in Indo-French collaboration.   The seminar commenced with a lively networking breakfast, setting the stage for meaningful interactions.
