🔍 **Navigating Contractual Challenges in Maritime Transactions** ⚓️ I am reaching out to my professional network for insights regarding a situation we are currently addressing involving a preliminary sale agreement for a 1970 Dutch shipyard motor yacht with a metal hull. As we progress through the inspection phase at the shipyard, we have encountered some issues. Although ultrasound readings of the metal hull thickness are satisfactory, three small holes have been identified in the lower framework of the keel. The shipyard’s welder has assured this area can be effectively repaired, due to the integrity of the surrounding structure. The vessel is scheduled for repair and is expected to be ready next week for a sea trial. However, complications have arisen due to concerns raised by the surveyor regarding the hull's condition. He has advised the buyer that the vessel may not be considered seaworthy even following the repairs. While the seller has agreed to undertake sandblasting (as suggested by the surveyor) at their expense to further assess the hull's condition, the buyer has firmly declined to proceed. We are now at a critical point where issues of liability and contractual obligations must be carefully examined. According to our preliminary agreement: - The inspection encompasses both a land survey and a sea trial. - Acceptance of the vessel is contingent upon the results of the inspection. - Should the inspection reveal defects in the vessel and should the total estimated cost for repairs exceed 5% of the vessel price, the Buyer may reject the vessel or request a price reduction. Given that the estimated repair costs are under 5% of the vessel price and the buyer's reluctance to proceed with further inspection (sandblasting): 1. Is the buyer in breach of contract for refusing the vessel at this stage? 2. Who bears the responsibility for the costs associated with the shipyard—the seller or the buyer? It is common for metal hulls to exhibit some degree of corrosion, yet some issues are repairable. Six years ago, we undertook a project involving a sailing yacht with a metal hull that exhibited significant corrosion, rusted plates and inadequate hull thickness. The client was determined to restore the vessel to seaworthiness. The surveyor worked closely with our shipyard to develop a comprehensive repair plan, including metal plates replacement. This project succeeded, and the new owner, with whom we maintain contact, now navigates the Mediterranean without any issues. I was somewhat surprised to receive feedback from a surveyor suggesting that this Dutch motor yacht could not be rendered seaworthy even after adequate repairs. While it may not meet class standards, I believe it could still be rendered seaworthy.
