Leveraged buy out: l'illusione di una storia senza futuro Ho letto con interesse la sentenza della Corte di Giustizia di secondo grado delle Marche n. 998 del 2024. La sentenza si risolve in una lezione di finanza per controbattere "un’ipotesi alquanto ardita" dell'Agenzia secondo cui "l'obiettivo principale dei fondi di private equity è minimizzare il carico impositivo delle proprie partecipate e dei propri clienti". La sentenza afferma che "non vi è nulla di più errato" ma addirittura, che “dalla lettura dell'errata concezione del leveraged buy out esposta nei motivi di accertamento dell'Ufficio risulta evidente che quest'ultimo ne abbia scarsa conoscenza". Come è possibile tutto questo e come è possibile che la Commissione Tributaria Provinciale abbia dato inizialmente ragione all'Agenzia? Continuo a illudermi che le cose cambino, che il rapporto fisco contribuente sia idilliaco ma per ottenere questo non è sufficiente, quantomeno nel breve termine, una articolata produzione normativa.  Occorre che si esaminino gli atti per quelli che sono, si leggano le norme, le circolari e i documenti dell'Agenzia delle Entrate per come sono scritti e non semplicemente per corroborare un convincimento spesso preconcetto. Continuo ad illudermi che un certo passato non debba avere un futuro. Delle volte ho la sensazione che l'illusione abbia sopraffatto la speranza ma non riesco a vivere la mia professione senza credere che qualcosa possa cambiare, che le norme abbiano un valore e che il codice non sia un semplice soprammobile dal contenuto ignoto e in fondo sacrificabile.
