[NEW CIRCULAR ON ARM’S LENGTH INTEREST RATES FOR SHAREHOLDERS’ CURRENT ACCOUNTS] The new Circular L.I.R. n° 164/1 issued by the Luxembourg Tax Administration on 29 January 2025, clarifies how to apply the arm’s length principle for determining interest rates on shareholders’ current accounts.   The new Circular emphasises the importance of transfer pricing principles for interest rates on related party transactions and maintaining proper documentation. Non-compliance may lead to adjustments by the LTA, additional taxes, cashflow problems, and penalties. [TRANSPOSING THE EU MOBILITY DIRECTIVE INTO LUXEMBOURG LAW] On January 23, 2025, the Luxembourg Parliament adopted Bill of Law 8053, which modernises the 1915 Law on Luxembourg companies. This new legislation transposes the EU Mobility Directive into Luxembourg law, harmonising EU cross-border mergers, divisions, and conversions. It introduces EU cross-border conversions, allowing companies to change their legal form and transfer their registered office to another EU state without dissolution.
