📢 Attention all Public Limited Companies (AS - Akciju Sabiedrība) in Latvia! 📢 🚨 Important compliance update: Public Limited Companies must disclose information about their shareholders by September 30, 2024. Failure to meet this requirement may result in a simplified liquidation process, similar to non-disclosure of beneficial owners. 🚨 🗓️ This requirement arises from amendments to the Commercial Law that took effect on July 1, 2023. The goal is to align the shareholder registry procedures of Public Limited Companies with those of Limited Liability Companies (SIA), ensuring transparency and a secure business environment in Latvia. 🛡️ Previously, the board of the AS was responsible for maintaining the shareholder register. However, the recent reforms, legally embedded in the Commercial Law, the Law on the Enterprise Register of the Republic of Latvia, and the Financial Instruments Market Law, now mandate public disclosure of AS shareholders, similar to SIA member disclosure. 🔍 Laima Letiņa, Chief State Notary of the Enterprise Register, emphasizes, “We urge AS to promptly comply with this requirement. Disclosing shareholders enhances transparency and strengthens the security of Latvia’s business environment. This is not merely a formal requirement, but a step towards fostering mutual trust.” 🤝 Once disclosed, shareholder information will be publicly available through the Enterprise Register’s information channels, including their website 🌐, API services for public and private sectors in Europe, and open data repositories 📊. 📊 As of May 30, 2024, approximately 27% of AS (245 out of 900) have complied with this requirement. Key points of the new regulation: 🔹 Information about registered shareholders will be available in the Enterprise Register, while information about dematerialized shareholders will be available in the central securities depository. 🔹 Companies can only have one type of share – either registered or dematerialized. AS with both types must amend their statutes by September 30, 2024. 🔹 Registered shareholders' data will be managed similarly to SIA members' data, while dematerialized shareholders' data will be recorded in the central securities depository. ⚖️ It's crucial to note that the Constitutional Court is reviewing the public accessibility of shareholder information, but this does not affect the obligation to disclose shareholders in the Enterprise Register. The Saeima has also passed amendments requiring AS with incomplete shareholder information to submit these details to the Enterprise Register by September 30, 2024. If the missing information is not updated by the end of the year, property rights to the shares may be revoked starting January 1, 2025. ❗
