Greenberg Traurig advised shareholders of Shoper S.A. on the signing of the preliminary agreement regarding the sale of the controlling stake in Shoper S.A. to Cyber_Folks S.A. This transaction, valued at 547.5 million PLN, underscores the accelerating evolution of the Polish e-commerce industry, and constitutes one of the most significant deals in the sector announced this year in Poland. The transaction was led by Local Partner Mateusz Zaleński together with Partner and Head of Capital Markets Practice Rafał Sieński, who were supported by Senior Associate Grzegorz Socha.

Greenberg Traurig advised Qemetica on the completion of its acquisition of PPG’s precipitated silica business for approximately PLN 1.2 billion (USD 310 million). The Polish chemical group has acquired two manufacturing facilities in the United States and the Netherlands as well as leases of manufacturing and R&D facilities in two additional U.S. locations. Precipitated silica is a raw material essential in the production of “green” tires, batteries and fillers, characterized by stable growth and positive outlook. This acquisition is the largest transaction of this type carried out by a Polish company in the United States. The Greenberg Traurig transactional team included lawyers from offices in the United States, the Netherlands and Poland. The global team was led by Dmitriy Tartakovskiy, Shareholder from the Tampa and New York Offices, and included, among others, Alexander Zachariah, Shareholder from the Fort Lauderdale Office, Daniella Silberstein, Shareholder from the Miami Office, and Associates Conor Goetz from the North Virginia Office, Javier M. Sanchez from the Miami Office, and María Alejandra Justo O'Hara from the Miami Office. Shareholder Stephen Pepper, supported by Of Counsel Rebecca Tracy Rotem, was responsible for securing the US antitrust clearance. The Greenberg Traurig Amsterdam team was led by Shareholders Bas Vletter and Jelmer Kalisvaart and included, among others, Shareholders Thomas Timmermans, Ruud van Bork and Associate Jesse Hoek. Greenberg Traurig advised Grupa Echo Investment on the sale of the REACT office building located in the center of Łódź to the Estonian investor Summus Capital. The closing of the transaction is subject to the City of Łódź not exercising its pre-emption right. The REACT office building, located in the Śródmieście district of Łódź has a total space of 15,000 sqm GLA, spread across 7 above-ground floors. The Greenberg Traurig transactional team was led by Local Partner Kamil Majewski, who was supported by Associates Jakub Gajzler and Maciej Smaczyński. Deputy Managing Partner Radomił Charzyński provided strategic advice on the transaction. Greenberg Traurig advised Eastnine, a Swedish real estate company, on the acquisition of the Warsaw Unit office building located in the Wola district of Warsaw from Ghelamco. The transaction value is EUR 280 million, which makes it the largest office transaction in Europe in 2024. Warsaw Unit offers over 59,800 sqm of efficient office space over 46 floors. It is the first facility in Poland certified with WELL v2, on Platinum level as well as BREEAM certificate at the Outstanding level. It is fully adapted to work in a post-pandemic reality and is among the safest buildings in the world. The Greenberg Traurig transactional team was led by Counsel Olga Durawa, who was supported by Associate Paulina Walczewska, Associate Maciej Smaczyński as well as Igor Jędrys. Counsel Justyna Jamroży, Associate Natalia Skomorowska and Junior Associate Weronika Kopeć were responsible for the financing aspects of the transaction.
