ALRUD participated in the rating "Experts on Law. Top Legal Councels", which was held this year for the first time for law firms and was organized by the rating agency Expert RA JSC and the analytical company Expert Business Solutions JSC with the support of the State Development Corporation VEB.RF and informational support from Expert magazine. The rating focuses on offering a comprehensive assessment of the legal consultancy companies involved in supporting development projects, i.e., projects implemented by private companies or companies with state participation focused on the development of the country, cities, and our standard of living and serve the interests of society. The new rating methodology takes a two-stage approach: - evaluation of data from the questionnaires of those rated; - evaluation of data from the clients of those rated and from publicly available sources. The calculations of the rating analysts resulting from the two-contact assessment were then verified and adjusted by the members of the expert council. The rating evaluated a set of indicators regarding the law firms' contribution to development projects: team expertise, results in development projects, comprehensiveness, business activity and credibility, and security of information storage. On December 18, a grand awards ceremony was held for the leading law firms. ALRUD was rated in 9 categories. As such, ALRUD was the undisputed leader in the number of awards received!

ALRUD's Dispute Resolution and Commercial Practices team, led by Partner Sergey Petrachkov, achieved a significant victory for a global leader in gaming software and equipment. The team successfully defended against a class action lawsuit involving over 300 plaintiffs with claims exceeding USD 30 million. On 7 November AEB IT & Telecom Committee, Compliance & Ethics Committee and Labour Law Sub-Committee held an open event “Personal data 2024: in search of balance”. Maria Ostashenko, AEB IT-Telecom Committee Chairperson, ALRUD Partner, co-chaired the conference. Excited to share the results of the unique study on Russia's M&A market. Leading Russian law firms – ALRUD, Nikolskaya Consulting, Orion, Stonebridge Legal, Mansors, Melling, Voitishkin & Partners, and KKMP – conducted a joint study of about 120 M&A transactions in Russia in 2022 - 2024, analyzing a broad spectrum of transaction parameters, including transaction structure, form, key terms, approaches to risk balance allocation between the parties, applicable law, and much more. The results were presented at the “Mergers and Acquisitions in Russia 2024” conference on November 14. - Selected findings of the study are provided below:Russian law governs 61% of M&A transactions in Russia, reflecting the development of Russia’s legal system and a focus on national law for domestic transactions. About 80% of transactions opt for commercial arbitration for dispute resolution, indicating parties' preference for confidentiality and expertise in handling disputes. - The vast majority of transactions are structured with a duty to comply with certain conditions precedent and a specific way in which the seller undertakes to conduct business. - Only 43% of the parties exclude quality provisions. - 1/3 of transactions allows a seller to submit a second disclosure letter, but in this case almost 80% of transactions provide for the buyer’s right to reject the deal if risks are identified. - In half of the cases, the seller’s liability for all claims is limited to 100% of the purchase price. In other cases, a differentiated liability is usually established depending on the nature of the violation (for example, different limit of responsibility for fundamental and «ordinary» representations). - The average de minimis values were 0.1–0.5% of the purchase price, and the basket was 1–2.5% of the purchase price. - The average limitation period for claims is 3 years for title claims, 4 years for tax claims and 12–18 months for standard business representations. ALRUD Labour practice team hosted the conference "Labour Patterns: Trends, Perspectives, Solutions" On October 31, 2024, ALRUD’s new office hosted the conference "Labour Patterns: Trends, Perspectives, Solutions", organized by ALRUD’s Labour Law Practice with support from the Russian-German Chamber of Commerce and Legal Insight magazine. The event brought together business leaders from diverse industries, including senior executives, legal professionals, and HR specialists, to discuss key trends in labor law. Margarita Egiazarova Speaks at AIJA International Labour Law Conference in Istanbul Margarita Egiazarova, PhD in Law and Partner in ALRUD's Labour Law Practice, participated in the international Crossing Bridges: Annual Labour Law Conference // Corporate and M&A Commission Seminar held in Istanbul, Turkey. During the event, Margarita spoke as a panelist in the session “Restrictive Covenants Further Restricted”, which focused on the latest issues surrounding the use of restrictive covenants in employment relationships. The session was moderated by Nan Sato (Fisher Phillips, USA), and Margarita was joined by esteemed co-speakers Ard Wallast (Rivian, The Netherlands) and Clodagh Hogan (Kingsley Napley LLP, UK), both leading experts in labour law.
