  • The closer we get to the deadline, the more the situation feels like a rollercoaster without seatbelts: what’s happening is unclear, and the outcome could knock you off your feet. This fall and winter, the patterns in the U.S. resemble a bizarre drama: chaos, panic, and an ending no one expected. But this time, here’s what’s at stake: Is filing the BOI report no longer required? 📑 The Beneficial Ownership Information (BOI) report is a document most businesses in the U.S. were required to file by January 1, 2025, detailing individuals who own at least 25% of a company’s shares. 🏛 However, the U.S. District Court for the Eastern District of Texas recently issued a nationwide preliminary injunction halting the enforcement of the regulations, citing potential unconstitutionality. 📍 As a result, as of December 12, filing the BOI report is considered voluntary (but this is uncertain). ❗️ It’s worth noting that federal agencies are currently appealing the decision. An emergency motion to stay the preliminary injunction has been filed and is expected to be resolved by December 19. 👀 Therefore, affected companies must continue monitoring the case and be ready to submit the BOI report quickly if needed. Our CPAs prefer to play it safe and recommend filing. As for the rest, T̶r̶a̶m̶p̶ we’ll see how it unfolds.
