Shareholder access to documents privileged to the company: It has generally been understood that a company cannot assert privilege against its own shareholder, save in relation to documents that came into existence for the purpose of hostile litigation against that shareholder. Numerous cases, and the leading practitioners’ works, proceed on the basis that such a rule exists. In a decision today, however, Picken J has held that there is no such rule: Aabar v Glencore PLC [2024] EWHC 3046 (Comm). https://lnkd.in/eQ7Y_qWx The judgment indicates that, whilst there are specific circumstances where privilege may still not apply as between company and shareholder, such situations will likely be much rarer than previously understood. Given the groundbreaking nature of this decision, an appeal to the Court of Appeal must be likely.
