March Women is a curated community of female M&A professionals and entrepreneurs at every stage and level of the deal-making journey. Our members are a diverse and dynamic group from across the M&A ecosystem, ranging from partners, executive directors and chairs of the board to analysts and trainees across fintechs, family offices, corporate finance, investment houses, law firms, specialist M&A advisers and more. Our purpose is simple: to champion women in the M&A industry, to amplify their presence and give them a platform to bring more deals to the table. Less talk, more action. She more recently set up her own corporate law boutique Threadneedle Law.

𝗪𝗵𝗮𝘁 𝗮 𝗽𝗹𝗲𝗮𝘀𝘂𝗿𝗲 𝘁𝗼 𝗴𝗶𝘃𝗲 𝘁𝗵𝗲 𝗸𝗲𝘆𝗻𝗼𝘁𝗲 𝗮𝘁 Arrowpoint Advisory's 𝗪𝗼𝗺𝗲𝗻 𝗜𝗻 𝗕𝘂𝘀𝗶𝗻𝗲𝘀𝘀 𝗟𝘂𝗻𝗰𝗵 𝘆𝗲𝘀𝘁𝗲𝗿𝗱𝗮𝘆. Here are my key takeaways - sellside tips for transactions, an M&A lawyer's view: 1. 𝗣𝗿𝗲𝗽𝗮𝗿𝗮𝘁𝗶𝗼𝗻, 𝗽𝗿𝗲𝗽𝗮𝗿𝗮𝘁𝗶𝗼𝗻, 𝗽𝗿𝗲𝗽𝗮𝗿𝗮𝘁𝗶𝗼𝗻 – Get deal ready so you own the narrative. Look for skeletons in key value areas, fix what you can to appear like a well-run business. Avoid last minute surprises that cause price chips/indemnities. Work through a DD questionnaire early or try our Deal Ready tool to help identify issues before opposing counsel does! 2. 𝗪&𝗜 𝗶𝘀 𝗻𝗼𝘁 𝗮 𝗺𝗮𝗴𝗶𝗰 𝘄𝗮𝗻𝗱 – Known issues are unlikely to be covered, DD will be more thorough and the buoyancy of the W&I market impacts policy price/terms. W&I is a useful tool and insurance brokers are your best friend to find out market trends, connect you with people and advise on risks in your sector. Have that coffee with the W&I broker. Warranties re financial statements result in most claims - more fiction has been written in excel than word. 3. 𝗗𝗼𝗻'𝘁 𝗯𝗲 𝗱𝗲𝗿𝗮𝗶𝗹𝗲𝗱 𝗯𝘆 𝗽𝗲𝗿𝘀𝗼𝗻𝗮𝗹𝗶𝘁𝗶𝗲𝘀 𝗮𝗻𝗱 𝗲𝗺𝗼𝘁𝗶𝗼𝗻𝘀 – Get to know the personalities of the buyer, their advisors and work out who can best lead the deal from your side, broach gritty issues and build trust. Breaking bread is important. When proposing deal terms think about how they will land – make an @$$**** ask, get an @$$**** answer. M&A is massively emotional. 4. 𝗦𝘁𝗮𝗿𝘁 𝗶𝗻𝘁𝗲𝗴𝗿𝗮𝘁𝗶𝗼𝗻 𝗽𝗹𝗮𝗻𝗻𝗶𝗻𝗴 𝘄𝗵𝗲𝗻 𝘆𝗼𝘂 𝘀𝘁𝗮𝗿𝘁 𝗱𝘂𝗲 𝗱𝗶𝗹𝗶𝗴𝗲𝗻𝗰𝗲 – Pair DD and integration planning to make sure you are asking the right questions at the right time to maximize value realization and avoid drag times eg. culture and IT can be expensive to fix if overlooked. 5. 𝗛𝗼𝘄 𝘁𝗼 𝗸𝗲𝗲𝗽 𝘆𝗼𝘂𝗿 𝗹𝗮𝘄𝘆𝗲𝗿𝘀' 𝗰𝗼𝘀𝘁𝘀 𝗱𝗼𝘄𝗻 – Make friends with lawyers and get free steers (we LOVE to talk shop). Good early steers on what to do when will save you $$$. Be like Goldilocks – instruct not too early not too late – stop start elongated deals or throwing resources at a deal to get it done quickly, both increase legal spend. Don't let your deals get over lawyer-ed - legal issues are not the biggest threat to your deal and lawyers can make the process painful if they aren't pragmatic. Think carefully about hiring any lawyer that starts every other sentence with "it depends" or "that's a commercial decision". Get an advisor who will tell you their opinion based on their extensive deal experience. My podcast recommendations were M&A Science and Merge with Caution. Sadly my kids will soon outpace me as an M&A advisor having been subject to many hours of Kison Patel's M&A chat on our road trips. Does this resonate with you? Wonderful evening of wine tasting last night with the all-female team of experts from Lay & Wheeler. Members and guests were treated to a generous glass of champagne on arrival and then tasted 6 wines, with Old World vs New World theme: - French vs Australian Chardonnay - French vs NZ Sauvignon Blanc - French vs South African Bordeaux Blend Honours were fairly even across the board and we enjoyed hearing snippets such as: * how French vineyards get divided into smaller and smaller parcels due to inheritance laws, and wine-making families look to make marriages between them to combine vineyards * the roots of a 35 year old vine can extend 10 metres below ground * that people who say they hate sauvignon blanc but drink Sancerre are actually drinking... sauvignon blanc (true story) It was also lovely to see some of our members organise an impromptu dinner following the event. In addition, we are excited to announce that we are partnering with Lay & Wheeler in 2025 for a series of wine masterclasses at their Mayfair premises - members will be able to sign up for 4 sessions across the year diving deep into all things wine.

The second cohort of March Women - Women in M&A Catalyst funded memberships is now open to applications. We want to hear from you if you are: ▪️A female currently working in the M&A industry (finance, investment/private capital, corporate development, legal, insurance, professional services, business operations and any other part of the M&A ecosystem) ▪️ Have up to five years' experience in the M&A industry or will be under 30 years old on 1st February 2025 ▪️Are from a working class background, went to state school, were a first generation university student (or didn't attend) and/or are from overseas and are in process of sourcing visa sponsorship from an organisation Funded by our corporate membership fees, Catalyst memberships give junior M&A women from under-served cohorts full access to our events, our online platform, and most importantly, our network of women in M&A. ▪️Apply directly at the link in the comments.
