I found myself nodding along enthusiastically with a number of comments from the Business Valuation Institute UK (BVIUK) gathering in London, specifically around the use of comparable transactions for valuation work. There is a healthy degree of scepticism about the source of some multiples and whether they are correct or not. A pensive looking Joe Stroud of Aliter Capital LLP at the MarktoMarket Manchester Breakfast Seminar this morning. Joe was his usual erudite self, making for an easy and enjoyable session for me. Thank you Joe, top job. Aliter Capital LLP is a great supporter of MarktoMarket and has an interesting approach to lower mid market PE - investing in a low number of platforms in the fund with very active approach to M&A in each of these portfolio cos; a group of partners heavy on operational experience; and a simple and aligned deal structure (Ord shares only). The MarktoMarket data shows valuations ticking-up and dealflow robust. The anecdotal evidence from Joe and the guests broadly supports this. We all know Manchester has a vibrant private capital market with a broad eco-system of advisers, PE, VC, bankers, lawyers - our data illustrated how much has been going on in the year to date with some big cheques going into RSK Group, City Football Group (Manchester City, etc) and Freedom Fibre and some punchy exits involving Co-Operative Bank, Princes Limited and Vital Energi Utilities Limited. Thank you to all our attendees who braved the Arctic conditions to join us. As Mark Eardley left his Harrogate tent, he called to his wife: "I may be some time." She needn't have worried. He made it over the Pennines without a hitch. What does the Business Valuation Institute Conference and a Labrador have in common? Absolutely nothing, but Linkedin seems to prefer collages of 3 photos and I only took 2 from the excellent Business Valuation Institute UK (BVIUK) on Friday. However, I did take a third snap of my old pal (and host) Henry's hound at the weekend so it will have to do. Dr Magdalena Antrobus MA, PhD, C.Psychol, with support from Graham Antrobus, Fiona Hotston Moore Expert Business Valuer and Non-Executive Director and Greg Brown, put on an event which was manna from heaven for an unapologetic business valuation geek like me. Nicholas T., CEO of International Valuation Standards Council (IVSC), drew some clever analogies from the world of football to explain why global valuation standardisation is important. Nick then moderated a session on regulatory change, with a panel of Andrew Strickland, Steve Thomas, Ben Elder and Graham Antrobus. A 'Red Book' for business valuation? Mike Blake, CFA, ASA, ABAR took to the stage to host a panel of Theresa Zeidler, ASA, David Haigh, James Palmer and Fernando Da Cruz Vasconcellos, PhD, MRICS to talk Intellectual Property Valuation, a new passion of mine (yes, really). Apologies Fernando for interrogating you on this afterwards - thank you for the feedback. Lunch with Olivier Pecon of Evelyn Partners - great company and realised we used to work in next door buildings at EY London. The final session was the Big 4 London Power Panel with Sandra Mossios, Katrina Hallpike, Matthew Warren and Andrew Robinson. Lots of pragmatic approaches which I would sum-up as follows - understand what the purpose of the valuation is, do the (considerable) work, then (most importantly) stand back and ask if it makes sense. One point around the data discussion, specifically on trustworthiness of transaction data......Sandra alluded to this but there ARE sources you CAN trust (eg MarktoMarket - all our data points are verifiable back to source). Didn't want to come across as a grubby sponsor by mentioning it on the day but worth stressing, I think. Thank you also for your thoughts on my long and meandering question on PE portfolio valuations. Have you ever heard of SIC Codes? It is the list of descriptions that Companies House offers to describe your company's activities. Most of our customers find them very unhelpful when trying to find relevant companies for: 1. Market Mapping 2. Acquisition Searches 3. Building Buyer Lists 4. Valuation The codes are either too generic or outdated, the business may have been lazily categorised on incorporation, or it may have been given a nebulous title like "Activities of Head Office". All of this means that building meaningful lists of companies is inefficient and boring. Too many false positives to remove.....and too many false negatives to make you worry about what is missing. We kept hearing this feedback when we were building MarktoMarket so we created our own industry classification system and search logic, which allows you search across 9 million businesses to identify companies and markets that fit your criteria, no matter how niche. The other day a customer wanted to find software companies specialising in ERP systems for food and drink manufacturing, but not food and drink distribution. No problem. The customer then asked to see those companies that are owner-managed and have revenue of £2-5 million. Again, no problem. Our engineering team came up with creative solutions to solve this problem and we keep investing here to make it better and better.
