📣 Pallas Litigation & Disputes Predictions for 2025 #1: 2025 will be the make-or-break year for the "shareholder rule". ⚖️ 2025 should see a "big decision" on the existence (and, potentially, scope) of the so-called "shareholder rule", i.e. the rule/principle that, it's been said, prevents a company from withholding privileged documents from its shareholders, at least in certain circumstances. 🤝 After conflicting decisions across common law jurisdictions, the Privy Council is currently due to hear the issue in early March 2025 (in Jardine v Oasis). 🗓️ And the UK Supreme Court's NY to-do list will include considering whether to take a leapfrog appeal of Picken J's recent judgment in Aabar v Glencore. 🐸 The decisions went opposite ways, so something has to give... As well as of interest to all privilege geeks (Matt Getz), this is practically important stuff. There is real value to shareholders in accessing this material - and to companies in withholding it - particularly with increasing investor and shareholder activism, appraisal rights, and securities litigation. Nick has deep experience acting for asset managers, financial institutions and insolvency practitioners on complex financial disputes, sovereign debt matters, and contentious insolvencies, and has led and advised on proceedings in the High Court, Court of Appeal and Supreme Court. Rekha advises in complex, high-value commercial litigation and arbitration often involving allegations of substantial international fraud. She is also the firm’s environmental lead and is developing a broad ESG litigation practice with particular emphasis on her interest in environmental issues, climate change law and international human rights. As we look back on 2024, we are incredibly proud of the pro bono work and the impact made this year. Highlights include: As a member of The Access to Justice Foundation, an organisation which supports individuals access legal support in light of the restrictions on legal aid, Pallas was invited to participate in the allocation of funds recovered through pro bono cost orders, joining a panel that distributes such funds to individuals needing financial support for legal representation. Our team represented the Good Law Project in its legal challenge against Reform UK for breaching voters’ data rights. Our Partner Neil Pigott and Counsel Alessia de Quincey and Kimmie Fearnside were awarded the Chancery Bar Association’s Pro Bono Champions Award 2024. Our New York Partner Shireen Barday and Associate Mark Davies filed an amicus brief on behalf of The Trevor Project in connection with a challenge to a transgender sports ban in Arizona. Our New York Associate Ashley Mullen successfully represented a young individual involved in a minor vehicle collision while in a rental vehicle, in a pro bono case referred to Pallas from The Legal Aid Society, resulting in the insurance company agreeing to release our client from all claims and actions for damages. Several members of the Pallas team were included on the inaugural Pro Bono Recognition List of England & Wales, which recognises barristers and solicitors who have given 25 hours or more pro bono legal assistance over the last year. These achievements reflect our commitment to ensuring access to legal support and uplifting communities.
