I believe too many companies do not involve their operations team in the business development process - they rely entirely on their BD team, who is most likely incentivized to complete deals, and not on how the acquisition performs post-close. By utilizing a SWOT analysis, the acquirer can construct post-close incentives for the seller to make sure the acquisition does not end up depressing earnings. One must really focus on the Opportunities and Threats when analyzing the acquisition.

It was developed in the 1960s by Albert Humphrey during a research project at Stanford University using data from Fortune 500 companies. The acronym SWOT itself was coined later, and the analysis was initially used in the context of long-range planning for business and organizations. A well informed and thoughtful M&A strategy needs to sit within a well informed and thoughtful long term growth strategy for the business. A SWOT analysis done honestly and with accurate outside-in competitive insights is an invaluable tool for building a well reasoned growth strategy which can in turn build the M&A strategy. Let’s face it - M&A is a lot of work, distracts management and everything from M&A strategy to sourcing to diligence to execution to integration require a lot of focus to “get it right” and to deliver value. M&A strategy should lead to acquisition criteria before you can build a target list. What are you acquiring for - scale/efficiency, geographic access, product and tech capabilities, quality resources, clients etc?
