The best entrepreneurs I know started their exit plan the moment they founded their company. They started by asking: "who buys this company in 5-10 years." They didn't wait. They started to develop relationships with those companies VERY early on. This allowed them to get to know each other over years, rather than when they were seeking an exit. Additionally, they built their company as if they were going to raise funding (even if they had no intention of ever raising outside finances). This meant that the company had to be growing and had to have appealing metrics that would attract an investor (or, better yet, acquirer). Lastly, they made sure that they as the CEO were fully replaceable. You cannot sell your business if you're vital.

In my experience, the best way to get to this point is to start your business with an exit plan in mind. It takes care and cultivating these key factors and your successor will appreciate your diligence and preparing your company for sale, and will most likely award you with a highly competitive offer to buy.

Here are a couple common deal structures I saw offered out there for e-commerce businesses. 📃 All Cash Purchase - This is typically a deal where the founders are totally wiping their hands clean of the business and will not be involved in operations any longer. Because its an all cash up front deal typically the multiple is lower then one could potentially get with an earn out deal. 📃 Earn Out Deal - You get a portion of the deal cash and have a large cash incentive to grow the business over the next 1-3 years. But this means you are now an employee of who bought your business! This carry's more risk with time and money for the seller!

If you as a leader/owner have given strong leadership here, it may be hard to exit when you suspect that they will be neglected or changed after you exit. As people say, the "devil is in the detail" and it really applies here. I nearly signed a business sale deal (and I'm glad I didn't). Things looked positive until I did DD and consider the pitfalls etc. You are likely to find that the "great deal" that you thought you had has shrunk/complicated somewhat.... So bear that in mind when you negotiate up front.

In my opinion this is not a time to prepare a business for sale. You may get away with verifying and updating elements but that is it. As part of the sale process you will have experts validating each and every aspect of your business and its performance. My recommendation is get the engine of the business right before you think about exiting. Unless you are happy to accept a large discount, of course.

This takes a lot of time as the investor/buyer will (probably) looking at every detail and there will be plenty of legal conditions.... This may involve getting your staff onboard with the idea of a sale or significant change that may threaten them.

We started prepping our business to put it up for sale about 2 years prior to selling. There is a lot to think about and I strongly suggest you have your house in order if you do not want to get beat up in negotiations. 🚀 Make sure to have your books clean. I think this is a judgement call and depends on the size of the business. In my experience involving and incentivising a key personal is crucial. Communications are important but only on a need to know basis and when the time is right.

Do not forget to continue to operate your business as normal while looking for a seller and conducting the transition of the business! It is always important to set your buyer up for success!

Selling a business is a full time job in itself, is highly pressurised and time consuming. Remember that this in addition to running the business. This is not for the faint hearted.
