What do you do if a client refuses to honor the terms of your contract as a self-employed freelancer?

First step to every conflict is communication. Patiently putting across your point of you and trying to understand the other party's expectations is really important. Second step is taking action. If we can not accept the client's behaviour its better we terminate the contract without delay after taking the legal advices. Its necessary to understand where to draw the line from talking to taking action. Taking action too early can also spoil your reputation and taking no action can too. Third thing we also need to keep in mind the time we invest on solving the conflict. We make sure that it does not effect our over all business and other clients. The time and attention we give here might be given to a lot of positive clients we have.

Get your contract reviewed by a lawyer before using it. I have a contract with my jobsearch/career strategy clients. It lays out how I work, what my expectations are of them, and how my fees are structured. I won't start without having that signed. But as a freelancer you should have a-strong abiding terms and conditions, work scopes, tangible delivery of results measurement, and weekly and monthly confirmed results by the client and reviews with the linked to the payment term clause. So the moment of client refusal we should have a penalty clause of interest payable until the days of resolution. The moment the expectations of client KPI formulas are agreed and result confirmed if he delay the payment by defaulting, that will increase payment by a reasonable percentage which will consider that is further deteriorating the situation. Still things may not go to plan and when this happens, I take a professional and firm communication of the issues to the client, and consequences. These may take the form of gradual penalties aimed at resolving the conflict and not losing the business relationship.

In addition, your actions before the signing of the contract could determine the actions of the freelancer. Clear communication and understanding of the terms is important to future actions. Where the issue is not the contract then next would be mutual communication to find out why the breach of the contract. You need to be firm but open to listen and where necessary willing to adjust within the limits of the contract. Before suing, there may be a number of next steps to ensuring that the contract is respected. A willingness to listen and reason may be useful. Are the suggestions brought forward better than the initial ones and even cost effective ? Does the organisation stand to gain from the new perspective?

Asking the client: "What ideas do you have for reaching a resolution of this difference?" might be preferred to you formulating and offering solutions. You may have considered and prioritized potential solutions beforehand, and might be pleasantly surprised if the client suggests some of the same or similar ideas. If it is a matter of refining general solutions on which there is shared agreement, then negotiations can be your best path forward. Another approach would be mediation, and that can be included up front in the contract as a preferred means of resolving contract disputes. Take a look at "Transformative Mediation" and perhaps find a mediator who is skilled in this approach. Both you and the client will benefit.

While firmly standing your ground on the contract terms, be open to exploring reasonable solutions that address the client's concerns while protecting your interests. Present these options as good-faith efforts to resolve the situation amicably and maintain a positive working relationship. By approaching the situation with professionalism, empathy, and a focus on finding a resolution, you increase the chances of a positive outcome. Clear and effective communication is key to navigating contract breaches and maintaining a productive working relationship with the client.

Throughout the dispute resolution process, diligently document all communications, agreements, and actions taken. Keep detailed records of emails, phone conversations, and any other correspondence with the client. This documentation will serve as valuable evidence should the matter escalate to legal proceedings or require intervention from a third party. Additionally, maintain thorough records of any work completed, invoices issued, and payments received or outstanding.

Be conscious of the down side of taking legal action, such as a stain on your reputation, even if you are totally within your rights due to client refusal to honor terms of the contract. Mediation might be a preferred alternative to legal action, and can be included as a remedy in your contracts. In that case, legal counsel if needed can be helpful in knowing your negotiating position. I especially like "Interest Based Negotiations/Bargaining" as a preferred "Win-Won" process if both parties will agree to it. Though may take a bit longer, it is likely to be worth the time an effort invested. I have used Interest Based Negotiation/Bargaining to achieve consensus in labor negotiations with a teachers' union, and it did wonders for us all.

Additionally, explore alternative revenue streams or temporary gig work to supplement your income during the resolution period.
