Through the DD process, one hopefully learns the business being acquired, not only gaining confidence in the quality of earnings, business operations, etc., but also in forming a post acquisition strategy which will be modelled to understand current value and opportunities for value creation post close. If one leverages a third party to assist with DD, make sure they understand the industry they're going to be working in and even when they have seemingly appropriate qualifications, oversights can happen potentially misleading one's view on the target company.

Market conditions are clearly very important to consider in valuing a company/asset. That being said, I've seen more than a few asset managers dispute that the value of an asset (or sector of assets) has fallen under current market conditions, but at the same time aren't out in the market scooping up "cheap assets" because they don't think the market has hit bottom yet. One has to be honest with themselves about the current market conditions and make reasonable estimates as to what future market conditions will be as they try to estimate value. A DCF can be a great tool for running various scenarios to understand the sensitivity of the valuation to different market assumptions (or operating assumptions).

Most have heard old saying "if I had a nickel...". Well, if I had a nickel for every synergy assumption that didn't come to fruition, I likely wouldn't be writing this and would be doing something else not work related. Synergies are a part of every transaction discussion. Buyers believe they will create/realize synergies that will create value to them. Sellers know that buyers expect to create synergies and will want the purchase price to allocate some amount of post close synergies to the sellers. Some synergies are real and realizable. Some are less probable or not probable. All will likely be subject to negotiation between the buyer and seller. Be honest about your own (your team's) experience in realizing synergies.
