How do you learn from the experience of terminating a contract and avoid future pitfalls?

You should develop language for your contract form and the notice of termination which reiterates that you have the right to and will or have removed any equipment from the other party’s location; retrieved any proprietary data from the other side (such as cloud based accounting service which has your bookkeeping data), and cut off access to any web-based services you provide. Ideally your contract will make clear that you are the owner of any intellectual or other property provided, and that their license or right to use the same ends upon the termination of the contract. In addition, you should develop language which sets forth time frames for the other party to return any physical property and/or perform its other obligations.

The notice should state that the contract has expired by its own terms or that you are terminating because the other side has not performed its obligations in a satisfactory way. Any notice should worded as simply as possible in a matter-of–fact, professional manner. If you are terminating for breach, you should indicate: 1) the nature of the breach; 2) the fact that you are terminating, and 3) your demand that the other party perform its obligations on termination (returning your property, etc.). You might include something like “[p]lease contact us in writing with any questions and/or disputes on or before (date). Your failure to respond by that time will constitute your confirmation that there are no such disputes.”

You want to ensure that you are not in breach of the contract yourself so that you can terminate without legal jeopardy (assuming the other pieces above fall into place for you). Check to be sure that you have paid any fees or costs due to the other side or to third parties as of the effective date of termination. NOTE: be careful to avoid taking on addition work, or placing or accepting additional orders unless they are part of work already underway. You also do not want to inadvertently extend the term of the contract or waive any defaults by doing anything inconsistent with your reasons for your termination of the contract.

As you go through the process, take time for a period of circumspection. Ask yourself some very specific question, tailored to the nature of your business; the nature of the transaction, and how things played out. Were there any misunderstandings leading up to the problems which caused you to terminate? What could have been done to make things more clear? What communications contributed to or at least failed to prevent these misunderstandings? Did you waive deadlines or other requirements of the contract? What, if anything, do the answers to these questions suggest concerning revising your contracts, forms or procedures?

Creation of form letters or standard paragraphs for emails or texts, along with your contract templates, is a good way to prepare to communicate with other parties. You should develop a clear contract policy, like contingency planning. Perhaps you create 3 categories of scenarios when the other party asks for an accommodation, like an extension of time to pay or to a change to the size of an order. You might have lists of things which an employee is authorized to do; another of things requiring manager approval, and another of things to which you never agree as a matter of policy. Each interaction with the other party should be recorded in a file you keep for the performance of the contract: what happened and what you did in response?

It’s a good idea to have your lawyer plugged into each step of the termination. S/he may advise against following up the notice of termination with a phone call. Verbal communications open up the possibility that the other party may claim that during the conversation, you agreed to waive all or a portion of the default. If your attorney directs the other side that all communications are to be through him/her on your behalf, you can be comfortable that you will not be agreeing to or conceding anything without discussing it with an expert first, as well as that it will be communicated to the other side by the lawyer exactly as it needs to be.

Some contracts are subject to additional bodies of law. When terminating an employment contract (or even terminating an at-will employee who has no formal contract), for example, you want to be in even closer contact with your lawyer for him/her to shepherd you through the process before, during and after termination of the agreement. Retaining a lawyer when you set up your business gives you an opportunity to let the lawyer know what the operation of your business will involve. S/he then will be able to address all relevant issues with you and to assist you with or to prepare the necessary documents accordingly.
