December 26, 2024 CTA Update—Beneficial Ownership Information Reporting Injunction Is Back --> BOI Reports Again Voluntary! Yesterday (Dec. 26, 2024) the U.S. Court of Appeals for the Fifth Circuit entered an Order (in Texas Top Cop Shop, Inc., et al. v. Garland, et al.) that put the Corporate Transparency Act injunction back in place “to preserve the constitutional status quo” while the merits panel considers the parties’ arguments. No alert from FinCEN regarding this new court order has been posted online as of yet. December 23, 2024 CTA Update—Beneficial Ownership Information Reporting Requirements Are Back in Effect, with Deadline Extensions A new federal court ruling yesterday means that the Corporate Transparency Act’s Beneficial Ownership Information (BOI) reporting is now required for most businesses. Most businesses must now file BOI reports with FinCEN. Deadlines have been extended to give companies more time to comply. To summarize, reporting companies: • Created (or registered in the U.S.) before Jan. 1, 2024: File by Jan. 13, 2025. • Created or registered on or after Sep. 4, 2024 that had a filing deadline between Dec. 3, 2024 and Dec. 23, 2024: File by Jan 13, 2025. • Created or registered on or after Dec. 3, 2024 and on or before Dec. 23, 2024: File within 21 extra days of your original filing deadline. • Created or registered on or after Jan. 1, 2025: File within 30 days of creation/registration is effective. • Special rules for disaster relief and certain exemptions may apply. If you previously thought BOI filings were voluntary, this is no longer the situation (at least for now unless new legal guidance becomes available)—BOI reporting is mandatory. Questions?
