We are pleased to officially announce our upcoming move to The Bell (225 West Randolph St.), a landmark Chicago building in the heart of downtown, in Spring 2025. Opened in 1966, the renovated building was formerly known as the Illinois Bell Building. Our new space will allow us to enhance our sustainability efforts, continue to positively impact the city of Chicago, further promote and enhance collaboration while providing attorneys and staff with top-tier amenities. Our first relocation in decades is no small feat and would not be possible without the Onni Group of Companies, CBRE, Clune Construction Company, Gensler and NovoSustainability. On December 26, 2024, the U.S. Court of Appeals for the Fifth Circuit entered an order that has the effect of again prohibiting the enforcement of the Corporate Transparency Act (CTA) and staying all CTA filing deadlines. This decision reverses a prior order that briefly reinstated CTA filing requirements, including a deadline extension announced by the Treasury Department to January 13, 2025, for certain reporting companies. Entities with CTA reporting obligations should stay informed as developments unfold. Read the latest here: https://lnkd.in/gk6AMai5 #CorporateTransparencyAct #LegalUpdate #Compliance

On December 23, 2024, the U.S. Court of Appeals for the Fifth Circuit entered an order that has the effect of reinstating Corporate Transparency Act (CTA) filing deadlines, including the upcoming deadline for certain entities formed prior to January 1, 2024 to file beneficial ownership information (BOI) prior to January 1, 2025. This is a reversal to the December 3, 2024 ruling by the U.S. District Court for the Eastern District of Texas, which prohibited the enforcement of the CTA and stayed all CTA filing deadlines. It is possible that the Financial Crimes Enforcement Network (FinCEN) will extend that upcoming filing deadline, but it has not done so as of the writing of this update. Entities with reporting obligations under the CTA should be on alert for further developments. Should you have any questions about the Corporate Transparency Act, please contact Earl Melamed, Wesley Nissen, Peter Miles, Ivan Alston or your Neal Gerber Eisenberg attorney. Litigation Partner Karl Barnickol was quoted in the Law360 article "Biggest Illinois Decisions Of 2024." The article examined how the U.S. Supreme Court's narrowing of the federal bribery statute in Snyder v. U.S. reshaped public corruption cases, considerably impacting trials involving former Illinois House Speaker Michael Madigan and other high-profile figures. It also discussed how the Illinois Supreme Court issued rulings favoring defamation plaintiffs, broadening claims and limiting the state's anti-SLAPP statute while providing nursing homes broad pandemic-era immunity under Governor Pritzker's executive orders. Additionally, the article noted that these decisions have dramatically affected Illinois litigation, reshaping bribery prosecutions, defamation law, and negligence claims tied to the COVID-19 response. Labor & Employment Partner Jon Ksiazek was quoted in the Law360 Employment Authority article, "High Court Muldrow Opinion Tops 2024's Biggest Bias Rulings." This article examines how, this year, the U.S. Supreme Court made it easier for workers to bring discrimination claims over job transfers, ruling that showing "some injury" will suffice under Title VII. It also discusses that appeals courts tackled significant issues, including workplace diversity training, with the Seventh Circuit rejecting a retaliation claim over skipped bias training and the Eleventh Circuit striking down Florida's Stop WOKE Act for violating the First Amendment. Additionally, this article explores the California Supreme Court's ruling that a single racial slur, even from a worker who does not hold a supervisory role, can justify a harassment lawsuit under state law.
