Atos just received a non-binding offer from the French state to acquire its BDS' Advanced Computing activities for up to €625m. It has entered into exclusive negotiations until May 31, 2025. The enterprise value is €500m. The Advanced Computing business includes the HPC and quantum, Business Computing, and AI activities. It had revenues of ~€70m and 2,500 employees. Atos 'would commit to launch a formal sale process for its Cybersecurity products and Mission Critical Systems.' The two businesses had 2023 revenues of ~€340m Several takeaways: ● The discussions with the French state have been long-lasting since April 2024. They have been through ups and downs, with disagreements over the price ● The new non-binding offering's scope only includes the Advanced Computing business. It does not cover Digital Security (security software products and services) and the mission-critical software business. This is a surprise to me. I expected the French state to secure the mission-critical software activities, which are used, for instance, for nuclear plant command & control systems ● I considered for many years that the BDS business was Atos's jewel. Atos is only selling the Advanced Computing business now. Yet, the company also plans to sell the rest of BDS (revenues of ~€340m). Again, this is a surprise, as I expected the company to keep some of its software product business, which can bring significant margins ● All in all, I find it positive to see Atos advancing on its long-lasting restructuring plan. This firm needs to finalize its financial transformation period, and reassure clients. The process is going on. It will just take time.
