  • Do you need to file your Beneficial Ownership Information (BOI) with FinCen before Jan. 1? The answer is ... "No?" While a court injunction challenging the BOI rules is in force, the Dept. of the Treasury is encouraging voluntary submissions, but there will be no penalties for companies not filing while the challenge works its way through the courts. For folks unsure about what BOI is all about, here's an excerpt from an Oregon Coast SBDC e-newsletter article on the topic from October 2023: "Basically, the Feds want to know the names of the folks with a controlling interest in your company (25 percent or more), or with real decision-making managerial authority – someone wielding 'substantial control' over business decisions. They are compiling a new 'Beneficial Ownership Registry' (BOI). You’ll file a report through FinCEN (The Financial Crimes Enforcement Network). . . . New firms starting up after Jan. 1, 2024 will need to file within 30 days of a change of BOI owners or managers. Firms already existing prior to 1/1/24 will have until Jan. 1, 2025, to register..." Clear as mud? Learn more, here: https://www.fincen.gov/boi Better yet, schedule a free, confidential, one-on-one meeting with an OCCC SBDC business advisor.
