  • With the end of the year fast approaching, a new ruling from a federal court in Texas has shaken up corporate compliance. The court has issued a nationwide preliminary injunction that halts enforcement of the Corporate Transparency Act and declares the law "likely unconstitutional." This means that entities previously required to file Beneficial Ownership Information Reports (BOIRs), providing personally identifying information of their beneficial owners to FinCEN (the the U.S. Treasury’s financial crimes unit), many of which were due by January 1, 2025, aren’t obligated to comply with this deadline at this time. Key points for businesses include: ✔️ The injunction applies nationwide to all persons and entities covered by the CTA. A different court had issued an injunction against the law in March but made it applicable only to the plaintiffs in that case. ✔️ Businesses will not face penalties if they don’t file BOIRs while the injunction is in place. ✔️ The government has appealed and sought an immediate dissolution of the injunction from an appellate court, which has not yet acted. Thus the injunction could be lifted, possibly before January 1, 2025. ✔️ Businesses should continue gathering the necessary information and completing BOIRs but hold off on submitting them for now. ✔️️ The legal situation is evolving, and filing requirements could change unexpectedly.   • 📍 Casselberry, FL | 120,098 sq. ft. | $13M Purchase Price On October 16, 2024, the OLSS Real Estate Group closed a series of high-impact transactions for RD Management LLC that will help transform the Casselberry Exchange shopping center in suburban Orlando. 🤝 Deal details: Through a strategic sale and development agreement, OLSS helped purchase this 17-acre site from Apollo Global Real Estate while securing BJ’s Wholesale Club as the anchor tenant and purchaser of a portion of the site. The OLSS team, led by Adam Haberfield and supported by William Adelson and Kevin Fenstemaker, also negotiated key ancillary agreements, including a cross-easement and operation agreement allowing the site's co-use by RD Management and BJ’s. This reconfiguration will bring fresh energy to the property, attracting visitors and encouraging local economic growth. It's a testament to how OLSS delivers thoughtful, client-focused solutions that make a lasting impact on the community.

  • Alexander Imel, an associate attorney in our litigation and dispute resolution group, has always been the kind of professional who goes the extra mile at the office for his clients and teammates. He’s also the type to go the extra mile outside of the office. More specifically, 13.1 extra miles. Alec recently completed the Harding Halloween Half-Marathon. Liberty Hall, located on Kean University's campus, was home to New Jersey's first elected governor and is now a National Historic Site. The 250th-anniversary celebration was a fantastic evening filled with history, hospitality, and support for this treasured landmark. Proceeds from the event will help preserve Liberty Hall Museum and support educational programs that bring New Jersey’s past to life for people of all ages.
