In a remarkable development in the legal standoff between the U.S. Treasury Department and the plaintiffs in Texas Top Cop Shop, Inc. v. Garland, the merits panel of the U.S. Court of Appeals for the Fifth Circuit has reinstated the nationwide pause on the enforcement of the Corporate Transparency Act, vacating another panel’s decision from earlier this week that had removed the pause. However, the appellate process remains ongoing, and further court action could come without warning, which may result in the reinstatement of all compliance deadlines. Preparation is key in this rapidly evolving scenario for reporting companies impacted by the CTA’s requirements. The U.S. Court of Appeals granted the government’s motion for a stay of the preliminary injunction against implementation of the Corporate Transparency Act. This ruling reinstates the CTA’s reporting and compliance obligations, including the January 1, 2025, deadline for reporting entities formed before January 1, 2024, effective immediately.
