Issue of July 2024 – Decree No. 55/2024/ND-CP of the Government detailing a number of articles of the Law on Protection of Consumers’ Rights On May 16, 2024, the Government issued Decree No. 55/2024/ND-CP (“Decree 55”) detailing a number of articles of the Law on, Protection of Consumers’ Rights replacing Decree No. 99 /2011/ND-CP dated October 27, 2011 of the Government (“Decree 99”). Decree 55 is an important legal document protecting consumers’ rights that has a wide impact on many involving businesses, subjects, organizations and individuals, thereby creating a legal framework for providing responsibility of individuals and business organizations towards consumers. Decree 55 officially takes effect from July 1, 2024. Why You Should Not Agree to Comply with the Law Many contracts have terms requiring one or both parties to comply with law. This may not seem like a problem since the parties ordinarily have to comply with law and it could appear awkward to argue against complying with the law. Before you agree however, there are a number of potential issues with promising to comply with the law. 1) It is often not necessary. You are bound by law whether or not you undertake to comply with it in the contract. A written undertaking to comply with law may be required in limited instances such as in data protection laws; in these exceptional cases there would be a clear rationale for the term. Where there is no real need for such a term, thoughtlessly including it should be considered bad drafting. 2) It places additional contractual burdens on you or the party you are trying to protect. Ordinarily, mistakes in complying with the law should be between you and law enforcement, however the compliance with law term would likely mean that such mistakes also constitute breach of contract. 3) It is likely to be vague and wide. Well drafted obligations should be specific and limited, not open ended. Even where the law requires the contract to include a compliance with law undertaking, it is wise to be specific and consider limiting your obligations as much as the law permits. These are only some of the issues that immediately come to mind with respect to compliance with law terms. There could be others related to your specific transaction, so it is usually wise to be cautious or seek legal advise about all contract terms. #law #contracts #compliance #technologylaw #nigeria #contractdrafting #itlaw #lawyers #pacsolicitors
