The History of Flatwoods Flatwoods Consulting Group Inc., founded in 2009 by Lee Walton and Shannon Gonzalez, emerged from a shared vision to create a more "people-focused" environmental consulting firm. Starting with no contracts or clients, the duo relied on their strong reputations and expertise in biological sciences to navigate the complexities of environmental regulations related to wetlands, wildlife, and water. Flatwoods quickly gained traction, attracting clients who valued cost-effective and efficient solutions for their intricate projects. Today, the firm has expanded to 43 full-time staff members, known as “Flatwooders,” who collaborate on diverse projects across sectors like mining, transportation, and residential development. Flatwoods operates under the Ethic of Reciprocity, treating others as they wish to be treated, fostering a collaborative and respectful workplace and culture. This philosophy extends to their client relationships, emphasizing mutual respect and constructive dialogue, which has been crucial in navigating the often-contentious environmental project landscape. In 2024, due in large part to their tremendous success and unique capabilities, Flatwoods was acquired by Verdantas, a well-suited collaboration due to a shared commitment to making a positive impact on the environment and communities. Verdantas emphasizes a people-focused approach, integrating technology and sustainability into their operations. This merger enhances Flatwoods’ capabilities, enabling them to tackle complex environmental challenges more effectively. As the Flatwoods team prepares to transition to the Verdantas name in the new year, we are excited about the opportunities ahead. By joining Verdantas, we aim to expand our reach and continue delivering exceptional service while upholding our core values of respect, collaboration, and ethical responsibility. This evolution positions Flatwoods to contribute even more significantly to a sustainable future, reinforcing our dedication to our clients, our communities, and the environment. Be sure to follow Verdantas to stay up to date with our people and our projects!

“GFL Environmental Inc., headquartered in Vaughan, Ontario, has announced it has entered into a definitive agreement with funds managed by affiliates of Apollo and BC Partners to sell a majority stake in its Environmental Services business for an enterprise value of CA$8 billion ($5.6 billion) which significantly exceeded management’s initial expectations, according to the company. GFL will retain a CA$1.7 billion ($1.2 billion) equity interest in the Environmental Services business, which will allow for future value accretion. The company says it expects to realize cash proceeds from the transaction of roughly CA$6.2 billion ($4.3 million) net of the retained equity and taxes. Under the terms of the transaction agreement, which is outlined in a Jan. 7 investor update, GFL will retain a 44 percent equity interest in the Environmental Services business, and the Apollo Funds and BC Funds each will hold a 28 percent equity interest. The transaction is expected to close in the first quarter of 2025 and is subject to certain customary closing conditions but is not subject to any financing conditions. (…) GFL says it intends to use up to $3.75 billion of the net proceeds from the transaction to repay debt, making up to $2.25 billion available for the repurchase of GFL shares, subject to market conditions, and the balance for transaction fees and general corporate purposes. Net leverage, pro forma for the planned use of proceeds, is expected to be 3X, according to the company.”
