Everyday, I hear a VC, a public company investor or a founder talk about the challenges of IPOs. In print, on podcasts, on calls, in person. US markets (public and private, the two are connected) are a victim of their own success. Larger VC deals and staying private for longer particularly during ZIRP, has led to larger IPOs, making it harder for smaller companies to get noticed. During my time at Thomas Weisel Partners & Stifel Financial Corp., I learnt that Americans saw small cap as <$5bn market cap and I suspect the bar’s higher today. So what’s a [smaller] company to do? If it’s too early to sell to trade, a PE firm could help and there’s some great firms on both sides of the Atlantic. The majority will want control so something to consider. They could also get partial liquidity from a secondaries fund and clean up the cap table, align interests and extend the runway. Or (my unconvential thought), they could look on another exchange such as the LSE’s Main Market or AIM. At the London Stock Exchange, we believe in giving founders agency. That’s why we invested in Floww (to help early stage founders raise primary) and are building PISCES ♓️ (a regulated crossover market for secondaries using the Exchange’s infrastructure). We also want to make it easier to IPO and are driving the biggest reforms of the ecosystem in a generation. We are connecting the funding continuum to remove cliff edges and give more founders more options. If anyone’s at the Lazard T500 conference next week, say 👋. "I think the IPO market is open. The problem is no one wants to go public right now in advance of an election in the US." In Ep 69 of Micro Podcast, I continued a conversation with Jason Corsello, Founder and General Partner at Acadian Ventures. While the investment market may be better than it was, it's not great. So what is the biggest issue? From Jason's perspective, the problem is liquidity. Investors haven't been getting their money back from exits of these businesses. The IPO market has been somewhat frozen. And no one is making any big moves before the election in the US. The good news is that once we get past this milestone things look favorable for 2025. Jason is predicting that regardless of which administration wins office, there will be changes at the FTC that will create a more favorable environment for M&A. What indicators are you paying attention to in the market? What do you think the environment for M&A and IPOs will look like in 2025?
