Tuesday Terminology A contract is created when there is an offer, consideration, and acceptance between two or more parties. Contracts must contain six essential elements to be enforceable: Offer: a promise from one party to another that they will or will not perform a certain task in the future. Acceptance: Both parties agree to the terms. Awareness: Proof both parties understand and agree to the terms. Consideration: Entails something of value promised in exchange for the actions defined in the offer. Capacity: Each signatory demonstrating they understand what is being signed. Legality: All contracts are subject to the laws of the jurisdiction under which they are signed. “Contracts” can take many forms – oral, express, implied, written, text exchanges, email exchanges and more – but there are nuances to each type so if you need help with any legal contracts, give us a call!
