I am glad to share the article on the crucial role of Independent Directors in navigating strategy, risk, and investor relations, which I recently wrote for Director Today magazine from the Institute of Directors (IOD), India. This article reiterates the points I presented in the talk I gave during the IOD National Convention on 'The Board' on April 27, 2024, at ITC Grand Chola, Chennai. Independent directors are on the board because of their expertise in the following areas: finance, marketing, technology, operations, and supply chain strategy, as well as their ability to read and interpret the company's financial report. Further, they are expected to have a few other proficiencies, like an overall understanding of the statutory requirements and the ability to bring perspectives overlooked by the promoters and executive directors. "Maximum Governance, Minimum Government" About two weeks ago, I had a wonderful evening with Dr. Anand Ranganathan sir. The session was focused on the topic of Viksit Bharat (Developed India). While highlighting the achievements of the past decade with facts and an unbiased narrative, he also pointed out a few drawbacks hindering our progress towards Viksit Bharat. As a law student and an intern in the GRC domain, one drawback particularly forced me to ponder. Despite India ranking 63rd in the World Bank’s Doing Business Report (DBR) 2020, its rank improved significantly from 142nd in 2014 to 63rd in 2019. Yet, MSMEs still face extensive compliance requirements.(Please, watch the video) For me as an intern, from one perspective, this is a significant business opportunity for law firms in the GRC domain. But at what cost? This gives me pause and make me ponder upon. 📢ROC CHENNAI IMPOSED A ₹6 LAKH PENALTY ON A COMPANY & ITS DIRECTOR FOR CONSTITUTING THE AUDIT COMMITTEE, THE NOMINATION & REMUNERATION COMMITTEE WITHOUT PROPER COMPOSITION, AS REQ UNDER SECTIONS 177 AND 178 OF THE COMPANIES ACT, 2013. 🤦Non-Compliance: In the Matter of M/s KCP Infra Limited. The board meeting dated 24th April 2021, the board appointed two individuals as ‘Additional directors in the Independent Category’ without their registration in the Independent Director Database. Being an unlisted public company with a turnover exceeding ₹100 crore, the company constituted the Audit Committee and the Nomination & Remuneration Committee “Without Proper Composition.” 👉 ROC imposed a penalty of ₹5 lakh on the company and ₹1 lakh on its Managing Director for violating Sections 177 and 178 of the Companies Act, 2013. 👉 The Order Copy is attached herewith for reference.
