When your client tells you they “don’t care about the contract”, your alarm bells should start ringing. Does that person have the authority to take the whole project outside of the contractual terms that both parties took the trouble to negotiate and sign? Probably not! Particularly if the client is a government or quasi-government entity who is required to follow particular processes and is subject to audit. And if that’s the case, things may just go pear-shaped down the track when the client (likely after the original person is fired) decides to start enforcing the contract provisions. I’ve seen it over and over again. So, how to protect your business? Document everything. Follow the contract even when you’re being told not to. Put in your notices so your claims are not time-barred. Insist on your rights. And protect your scope. Whatever you do, remember that the contract is there to provide the boundaries of the field within which the parties are playing. Without it - you may as well be playing basketball in zero gravity in blindfolds. How about you: How would you respond if someone yelled at you in a client meeting that they didn’t care about the contract (happened to me the other day!).
