🚨 Important Update for Foreign Companies 🚨 The Ministry of Corporate Affairs (MCA) has issued the Companies (Registration of Foreign Companies) Amendment Rules, 2024, effective from 9th September 2024. These amendments bring crucial changes to the registration process for foreign companies under the Companies Act, 2013. Key Highlights: The term "Registrar" has been updated to "Registrar, Central Registration Centre" in Rule 3(3). Foreign companies must now deliver their registration documents in Form FC-1 to the Registrar, Central Registration Centre, as per the newly inserted proviso in Rule 8(1). These changes aim to streamline the registration process and ensure consistency in handling foreign company registrations. Good news 👏 ESR will not be required starting FY 2023 onwards. ESR regulations was required in order for companies engaged in certain "relevant activities" to demonstrate a genuine economic presence in the UAE, with adequate employees expenditure, and physical assets However, due to introduction of Corporate Tax Law in UAE and other regulatory requirement of CbCR, CT return submission including foreign source incomes. ESR will not be required anymore. The English version for the relevant CD is awaited #UAE_WES_WMOF
