Hi The detention of superyachts allegedly owned by Russians has sparked political controversy, but when we examine the legal details, the basis for these detentions and any subsequent sales becomes questionable. Julia Zaltzman has written a timely piece for the Robb Report , to which I give my tuppence worth. This is a more complete summary of my views not on sanctions per se but the detention of Superyachts announced to be Russian owned. Most yachts are owned by companies, not individuals, and the legal ownership may not be directly linked to the individuals involved. While it may be widely believed that we know who is behind the ownership of any yacht, the foundational legal principle of corporate law dictates that the assets of a company are separate from the assets of its shareholders. Sanctions are not a valid reason to pierce this corporate veil unless, for example, the company is being used to evade sanctions, which is not the declared case with these yachts. In the case of Alfa Nero, she was seized due to being perceived as an abandoned vessel posing environmental and security risks, allowing the authorities to sell it. However, the legality of preventing the legal owner from moving the ship based on assumptions about shareholders or ultimate beneficial owners (UBOs) is questionable. This seizure precipitated an original Admirality auction sale. After the yacht was auctioned, the daughter of the presumed owner, Andrey Guryev, claimed ownership of Alfa Nero, which led to the original auction sale collapsing. Subsequently, she was sanctioned, and a private sale approved by the court proceeded. However, there are concerns that once the sanctions are lifted, the previous owners might challenge the new ownership. It's worth noting that the Antigua and Barbuda government has indemnified the buyer of Alfa Nero for any future losses or third-party claims connected with the sale, thus making the legality of the sale uncertain. This is a long way from a clean legal opinion which would hold the sale as being unimpeachable. What does the future hold for sanctioned yachts? In the rush to demonise the Russian owned superyachts, in what I have described elsewhere as creating a class of inannimate enemey aliens, the policy makers have left these superyachts in limbo. The problem has to be reexaminated. It cannot be cured simply by offering government indeminities to prospective buyers who may not only face expensive post war legal fight to prove that their title is well founded, but they may well have to account to the disposed owners for their loses. It is entirely possible that the principles established in respect of the restitution of art stolen during the second world war may have unintended uses if deployed by the former owners of sanctioned yachts to recover their yachts. #superyachts #sanctions #russia #corporatelaw #superyachtlaw
