Every period of human development has witnessed key times when technology and social movements come together to transform the institutions that govern us. We are currently experiencing one of those moments, as decentralized autonomous organizations (DAOs) appear on the horizon, promising a new and possibly disruptive approach to governance. In an era when confidence in established institutions has reached an all-time low, DAOs provide a new paradigm that offers openness, involvement, and responsibility. However, as with any new instruments for change, they bring their own set of problems, and we would be well to appreciate both the potential and the hurdles that lie ahead. Many see DAO as a way to reshape the face of governance at every level; be it local, national or even global. As we talk about DAOs and their benefits, we must not shy away from the difficulties that come with decentralizing power so that it can be much more effective, sustainable, and equitable. Decentralized Autonomous Organizations (DAOs) are blockchain-based entities governed by smart contracts, allowing members to make decisions collectively without a central authority. Think of it as a company run entirely by its stakeholders through a transparent, rules-based system encoded on the blockchain. Members vote on proposals, manage funds, and oversee governance through token-based voting mechanisms. If you’re part of a Decentralized Autonomous Organization (DAO) or thinking of starting one, you've probably wondered: "Do we need a legal entity?" The short answer? Yes, if you want to protect members and operate within legal frameworks. But the real question is: Which one? 1. 𝐃𝐀𝐎 𝐋𝐋𝐂 – 𝐓𝐡𝐞 “𝐖𝐲𝐨𝐦𝐢𝐧𝐠” 𝐒𝐨𝐥𝐮𝐭𝐢𝐨𝐧 Heard of Wyoming’s DAO LLC? It’s popular because it offers limited liability to members while still respecting the DAO’s decentralized nature. Perfect? Not quite. You’ll still need traditional documentation, which can feel like going against the whole decentralized ethos. 2. 𝐅𝐨𝐮𝐧𝐝𝐚𝐭𝐢𝐨𝐧 – 𝐍𝐞𝐮𝐭𝐫𝐚𝐥 & 𝐓𝐚𝐱-𝐅𝐫𝐢𝐞𝐧𝐝𝐥𝐲 Some DAOs opt for foundations in places like Switzerland or Singapore. It’s a great fit for open-source or community-driven projects, especially with potential tax benefits. But setting one up? Expensive and complex—not everyone’s cup of tea. 3. 𝐂𝐨𝐨𝐩𝐞𝐫𝐚𝐭𝐢𝐯𝐞𝐬 – 𝐅𝐨𝐫 𝐭𝐡𝐞 𝐂𝐨𝐦𝐦𝐮𝐧𝐢𝐭𝐲-𝐋𝐨𝐯𝐞𝐫𝐬 If your DAO is all about community, cooperatives can be a good match. They’re democratic and member-focused, much like DAOs. The downside? Scaling can be tricky, and dealing with cross-border regulations can be a headache. Not ready for all that legal complexity? An unincorporated DAO is easy to set up. No frills, but here’s the catch: zero liability protection. If something goes wrong, members could be personally on the hook. 𝐖𝐡𝐚𝐭 𝐀𝐛𝐨𝐮𝐭 𝐌𝐚𝐥𝐚𝐲𝐬𝐢𝐚? There’s no specific DAO framework here yet, but aligning with structures like foundation could offer some protection. And if your DAO is issuing tokens, you’ll need to watch out for Securities Commission Malaysia guidelines. So, what’s your take?
