Their "Hot Topic" chapter reiterates their view from last year's guide that assigning corporate boards the duty to monitor ESG risks could weaken the business judgment rule, leading to excessive focus on compliance at the expense of entrepreneurial activity. The chapter advocates for ESG strategies to be decided under the business judgment rule, aligning with traditional corporate law principles, in light of new SEC rules on climate disclosures and recent Delaware court developments.
