What is Force Majeure: In a contract, force majeure is a clause excusing a party from performing contractual obligations due to unforeseen events beyond their control. Events Covered: Typically includes natural disasters, wars, riots, government actions, and epidemics (depending on specific wording). Events Not Covered: Any foreseeable event, lack of effort or non-performance due to internal issues are not covered under force majeure. Key Characteristics: Unforeseeable: The event could not be practically predicted at the time the contract was formed. External: The event that arises is beyond the control of a party, not due to a party's actions or negligence. Irresistible: The event cannot be prevented or overcome through reasonable efforts. Benefits: Protects parties from liability for non-performance caused by uncontrollable events. Allows for suspension or termination of the contract in extreme situations. Limitations: Burden of proof lies with the party claiming force majeure. Courts may interpret the clause narrowly, depending on specific wording. Remember: Force Majeure is not a guarantee – therefore carefully drafted contractual clauses and clear communication are vital for successful application of Force Majeure.
