Companies giving themselves credit for potential future revenue via EBITDA “addbacks” while going through a sale process should be careful, as buyers are becoming much more judicious about these metrics. When discussing tolerance thresholds for addbacks, Britton said: “If it was any number above 25%, I’d throw a flag down, scrutinize and drill down. Now it’s more like 15%.”

Medical Properties Trust, Inc. went on a selling spree last week. The real estate investment trust is one of the nation's largest hospital landlords with a portfolio of over $18B. In a typical year, MPT is not worried about liquidity, as it secures plenty of cash through tenant rent payments. However, MPT has been significantly exposed during Steward Health Care's meltdown, worrying investors. MPT's stock has plummeted since Jan 2022, falling from $23.25 a share to just $3.99 as of close of market Friday. To shore up liquidity in case Steward — its largest tenant — can't make rent, MPT fully sold or sold majority stakes in 10 hospitals last week in two separate deals.
