So its official - judgement has been handed down in what looks to be the first time that LIBOR transition has been litigated in England/Wales! Given the widespread use of LIBOR and the sheer scale of the change, it was just a matter of time before questions arose around the contractual implications of cessation, particularly in the context of "tough legacy" contracts or where contractual fallbacks have failed. Have a read of the judgement in the link below, particularly the analysis of the various alternative rates available to the participants, and how the experts assess the economic implications of these differing options on the contracting parties. Thanks Kam Hessling for sharing and for your observations. It's often said that one should "start with the end in mind". If anything, this judgement may give South African market participants some insight into how courts may approach JIBAR cessation litigation in future. As we gear up for ZARONIA transition, and for contractual repapering, I can't overstate the importance of understanding the economic consequences of the available options. Whilst contractual continuity is certainly an important outcome in the context of proposed safe harbour legislation being considered for tough legacy contracts locally, the consequences of these options must be well understood (for example, if a synthetic rate is used, how is this calculated, is it based on a term version of the overnight rate, are any spreads applicable etc?). First prize should always be proactive negotiation with your counterparts or an "active transition" where possible to avoid any uncertainties. Where fallbacks are being relied on, counterparts should ensure that they are robust and clear enough. An early start to transition planning and repapering will hopefully limit the need to rely on legislative solutions for "tough legacy" contracts.
