Nice recent write-up by Orrick, Herrington & Sutcliffe LLP 👇 on mechanics of an EU implementation of a Delaware C Corp. Petition linked in comment and has some kind of legislative roadmap on Framer-made eu-inc.org. As an early-stage transatlantic operator I can't stress enough how much easier and more affordable this would make #startuplife. Today, you have to really know quite a lot in order to be fast and cheap internationally in Europe and esp. transatlantically. It's a job yes, but admin, not innovation and I'll tell you also likely not a very young professional that will show any serious level of cross-border operating experience. 1. With a 28th regime, imagine a set of standard EUVCA financing docs. We'll see new and interesting combos in cap tables as cross-border equity financing becomes more predictable in the asset class. Give it some time and we will definitely close your round quicker, wherever you are in the EU. 2. A Delaware flip would become arguably even more senseless prior to any serious US market motion if that's what you are targeting. 3. Imagine pan-European Stock Option Plans with standardized FMV valuations recognized by local fiscal authorities. Imagine employees are actually shown the value of what Equity Incentives can be in Europe. Imagine what they do with that value. At some point it's not about flat whites and diapers anymore... 4. Dare I say, less need for funny things like EORs (remote.com, deel.com) who are trying to help mediate these things in the interim? Their profit is based on the same need for speed the 28th regime would fulfil imo. I invite everyone to show me the darker consequences of the interesting bypass that seems the "28th regime". It starts to feel it's another Rubicon that shall have to be crossed in an asset class that needs to become more productive and in Europe esp. more innovative. Earlier this year, the UK government announced a new Scale-Up Support Service to give UK-based scale-ups the investment and expertise they need to continue to grow. The Department for Science, Innovation and Technology (DSIT) will be heading the scheme, selecting 20 of the most promising start-ups to benefit from government support. This tell us three things: ➜ VC funding has been declining, with the number of new funding dropping from 67 in 2022 to 46 in 2023. ➜ The government wishes to retain start-ups in the country and compete globally as a tech centre. ➜ The small cohort size indicates a shift in scale-up mentality. Rather than trying to support many start-ups, resources go further when focused on a select few. Governmental support has been shown to increase VC funding, as shown in France over the last year. However, the UK announcement was vague about the support scale-ups could expect or the differentiation from alternative initiatives. The community now includes national associations, syndicates, funds, and startup founders, highlighting a diverse and professional investor base. EBAN plays a crucial role in supporting this professionalisation by organising networking events, facilitating peer learning, and sharing best practices. 👉 Many angels are investing through syndicates or funds to mitigate risks and build long-term portfolios. Smaller ecosystems like Lithuania and Ireland are showing strong growth alongside leading countries like the UK, Germany, and France. Unless you've been living under a rock, you'll know that Andreas Klinger kicked off a revolution across Europe. Building a venture-scale business that can compete with the level of available capital, risk appetite and talent in the US is extremely hard if you're based in Europe. From a range of tax-optimisation schemes such as S(EIS) in the UK to the requirement for a notary to read OUT LOUD every single word line-by-line in a fundraising agreement to the founders in Germany it's a highly-fragmented and poorly structured ecosystem. We are not the United States of Europe. At least - not yet. As Andreas says "European entrepreneurs have to be unfairly lucky to be successful in creating large companies in Europe - or they need to migrate to the US. " Through sheer grit and determination by European startup associations, the EU has confirmed that they are starting to work on a pan-european legal entity early 2025. Rather than wait for them to come up with something, as a startup community we're trying to influence what that looks like. We now have until Jan 15th to finalise our proposal to ensure this reflects the needs of the entire community - from founders, investors, lawyers, talent people - everyone. Total raised this year so far is: £9.069 billion. Last year, it was £9.749 billion. 2021 was the mega year with £21.292 billion. Would 2025 be the turnaround year? With Syria falling and the conflicts accelerate, no one can predict the future. One thing is sure though. There would be more investment going into DefenceTech as alluded by Steve Blank - Steve is calling for private sector to get involved. I prefer no wars altogether but humans are complex beings who cannot live in harmony.
