As a governance professional who is passionate about governance, risk and compliance and networks with other professionals to keep up to date with any legislation changes or to share best practice and experiences, one thing always comes up in conversation and that's the role of the governance team. One major myth and frustration that has been in alot of conversations, is governance being seen and used as only an admin function with the purpose of writing minutes only. Yes, a secretariat function forms part of a governance team but it is not the only function. Some of responsibilities of a governance function are: • Ensuring the organisation is compliant • Leading on committee planning • Leading governance effectiveness reviews • Managing the effective performance of the organisation's governance culture, processes, systems and framework • Providing impartial advice to the company's directors as well as the Board if they appear to be acting in breach of legal requirements • Managing committees, Boards, elections, inductions and training. This is not an exhaustive list but for governance to be effective and efficient the team need to have a seat at the table and their voice heard rather than the focus be solely on the production of minutes. Implementing a secretariat function within a governance team can help with this.
