Operating Agreements are essential for governing your LLC. But what should be included in this document? Let's take a look: 🖊️ Leaving or Joining. It happens all the time. Some members need to leave for various reasons or some new members need to be onboarded. An Operating Agreement will outline how leaving or joining should look. Having a plan in place for these situations is critical. You don't want to waste time trying to figure out the details - they should all be outlined in the Agreement already! The key for this is to be extremely detailing in how each of these instances will look. 🖊️Dissolution. An Operating Agreement should outline what will happen if your LLC closes or dissolves. Be sure to include specific instructions and outline which members will perform which duties. It's important to include stipulations for what will happen with company debt, any assets that should be divided, etc. That's it for now! We'll take a look at the final component next time! The outgoing partner is entitled to a share in the profits derived from their share in the assets of the partnership firm, even after the dissolution, until the final settlement is made. If an entity, post-dissolution, takes over the assets of the partnership firm and continues business operations, profits earned from the use of those assets are to be proportionally distributed to the outgoing partner. Under Section 37, if a dissolved partnership’s assets are utilized by an entity, the outgoing partner retains the right to seek accounts and claim a share of profits derived from such assets. The case arose from the dissolution of Crystal Transport Service, where one partner claimed that funds were diverted without consent, raising issues regarding the division of assets and profit-sharing post-dissolution. The Court emphasized that the extent to which the appellant company’s business derived from the partnership assets would be determined based on evidence presented in the final decree proceedings.
