Does your chief executive prepare an executive summary for your board? Whilst it would be great if all board members scrutinised the board pack from cover to cover in advance of meetings, unfortunately this is not always the case. So the use of an executive summary can be crucial in ensuring the board focuses on the most important issues. Realistically this isn’t always drafted by the CEO; more often than not it is prepared by the company secretary or chief risk officer, then signed off by the CEO. It is not important who actually writes it - as long as the author has an excellent understanding of the entire business. Message me if you would like to discuss this key governance tool further.

The IIA’s Three Lines Model is recognized globally as a critical resource in successful governance. It helps organizations identify structures and processes to best manage risks and achieve objectives, including an organization’s ESG-related risks. The model establishes the three essential roles that define governance at its most basic: accountability, actions and assurance. It also identifies the three essential players in governance: the governing body, management and internal audit.
